This Terms of Service agreement ("Agreement") is entered into between you and Zap (Strike) Europe Limited ("Strike"), a private limited liability company incorporated and registered under the laws of Malta, with company registration number C114533 (LEI: 984500457TAB0A3BZ224) and registered address at 171 Old Bakery Street, Valletta, VLT-1455, Malta, which is duly authorised by the Malta Financial Services Authority as a crypto-asset service provider under Regulation (EU) 2023/1114 on Markets in Crypto-Assets (MiCA) and the Malta Markets in Crypto Assets Act (Cap. 647, laws of Malta) to provide crypto-asset services. Strike is authorised to provide the following services: executing orders for crypto-assets on behalf of clients; exchange of crypto-assets for funds; transfer services for crypto-assets on behalf of clients; and custody and administration of crypto-assets on behalf of clients. Details of our licence and authorised services are available on the MFSA Financial Services Register. This Agreement applies where you are a business (a company, corporation, limited liability company, organisation, educational institution, agency, or other legal entity) referred to as a “Business”.
This Agreement governs your use of Strike’s products and services (“Services”) through the Strike mobile device and web-based applications and other Service delivery methods ("Apps"). You agree and understand that by signing up to Strike and opening an account, and/or by accessing or using any Services, you are agreeing to enter into this Agreement by and between you and Strike, and to be legally bound by its terms and conditions, so please read them carefully. This Agreement constitutes a binding obligation between you and Strike. If any term or condition of this Agreement is unacceptable to you, please do not visit, access, or use Strike or any Services. We may update this Agreement from time to time at our discretion. Use of the words “we,” “us,” or “our” in this User Agreement refers to Strike.
This Agreement is only intended for legal entities (not individuals) who are incorporated or organised in an eligible country supported by Zap (Strike) Europe Limited, including the EEA, and United Kingdom. You acknowledge and agree that as a business you may have access to different features and Services compared with individuals, at our discretion. Please note that if you are incorporated or organised in the United Kingdom, Strike is not authorised by the UK Financial Conduct Authority, your use of the Services is not subject to the UK Financial Services Compensation Scheme, and you do not have recourse to the Financial Ombudsman Service in relation to any issue or complaint you may have in relation to the Services.

Eligibility and Account Creation
(a) Eligibility. If you wish to access the Services, you must create an account with Strike ("Account"). To open an Account and use the Services, you must be incorporated or organised in a country in which the Services are available, and capable of forming a binding contract in compliance with the terms of this Agreement, and not otherwise barred from using the Services under applicable law, and complete our account opening and verification procedures which includes our customer due diligence and KYC checks. We may establish additional eligibility criteria at our discretion. Services are only available to persons in eligible countries, and in our discretion we may not provide Services (or may provide limited services) in one or more countries from time to time or determine that one or more countries are Restricted Jurisdictions. As an individual creating a Business Account or accepting and agreeing to this Agreement (including these Business Terms) on behalf of the Account-holder Business, you represent and warrant that you are duly authorised to bind and enter into agreements for the Business on whose behalf you are acting, and that the Business has the authority to enter into and be bound by the Agreement.
(b) Your Information. To open and maintain an Account, you must provide complete and accurate information to Strike and/or our Third-Party Service Providers, including, but not limited to: (i) details of your legal entity including its name, registered address, jurisdiction of incorporation, registration number, LEI number, and legal form; (ii) information about your corporate structure and ownership structure, including the identity of all ultimate beneficial owners and controllers; (iii) details of your governance structure, directors, officers, and authorised signatories; (iv) information about your business activities, services, and operating model; (v) your regulatory status and any licences, registrations, or authorisations you hold; (vi) information regarding Your Bank Account in your own name that you link to your Strike account, (vii) financial information including source of funds and source of wealth including evidence of your revenues where requested; and (viii) details of your compliance and anti-money laundering procedures and controls where you are subject to applicable anti-money laundering laws (collectively, "Customer Information"). You must promptly notify us of any material change to your Customer Information, including any change in beneficial ownership or control, change in regulatory status, or material change to your business activities. We may also request, and you agree to provide, additional information or documentation to confirm your identity, or that of your control persons, or verify any information you have previously provided, or to confirm or verify the identity of any sender of any transfer to your Account or any recipient of any transfer from your Account, substantiate the accuracy of your account information, verify your regulatory classification, or confirm your purpose in using the Services or a particular transaction, or other purposes such as source of funds, or source of wealth. Information that you provide to us for these purposes may be provided to Third Party Service Providers for the purposes of or in connection with the provision of Services to you, or to satisfy requirements of Applicable Laws to which we or the Third Party Service Provider is subject. You hereby authorise Strike, directly or through our Third-Party Service Provider(s), to make any inquiries necessary to verify your or any recipient's identity where required in connection with our or their compliance or customer due diligence processes or protect against fraud, including but not limited to: (i) query identity information contained in public reports or other databases (e.g., your name, address, past addresses, or other Customer Information); (ii) query account information associated with Your Bank Account (defined below) or other public or private databases; and (iii) take reasonably necessary actions to verify your identity and comply with applicable laws such as customer due diligence requirements, or for risk management. You further authorise any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests.
(c) Further information, and assessments. In some circumstances, we may be obligated by applicable law or the policies or at the request of a Third Party Service Provider or payment services provider to require further information from you either at account opening, or thereafter. This may include requests for further information about you, your source of funds or source of wealth, purpose of specific transactions, and other information to allow us to comply with our regulatory obligations and policies or those of the relevant Third Party Service Provider or payment services provider as applicable. In certain circumstances we may require you to undertake certain appropriateness assessments and other categorisation processes, in order to be able to access and use the Services on an ongoing basis. These assessments and categorisation measures may need to be renewed from time to time. If these are required, you agree that if you are unable to pass any such appropriateness assessments or be categorised as required on an ongoing basis, then Strike will be unable to provide the Services to you, and may be required to withdraw your access to any Services that you then-currently have access to.
(d) Your Account Credentials and Security Obligations. When you create an Account, you must retain access to the Account-linked email, your personal identification number and any other credentials that are used to access your Account (collectively, "Credentials") to continue to access your Account and to use the Services. Where you have set up two factor authentication (“2FA”) on your Account, you must retain access to your 2FA method to be able to access your Account. You must maintain the security of your Account by protecting your Credentials, any 2FA, and Account-linked devices, not disclose your Credentials to anyone, and immediately notify us if you discover or otherwise suspect any unauthorised use of or access to your Account. You must not permit any other person to access or control your Account (or provide any other person your Credentials or 2FA), or access the Account or Credentials or 2FA of any other person, under any circumstances. You are responsible for all activities that occur on your Account, whether or not you know about them. You agree to cooperate fully with the legal authorities and Strike in any investigation of activity on your Account. To protect yourself from unauthorised activity in your Account, you should regularly log into your Account and review your Account history and your Account statement.
(e) Own use. By creating an Account, you represent that you (not anyone else) have created the Account for your own use, which includes using the Account for commercial and business purposes relevant to your Business that you operate, and that you will only use the Account for yourself and not permit any third party to access or use your Account, and not use your Account on behalf of any other third-party without Strike’s consent. You may only register one Account.
(f) Own assets. You undertake that you will only use your own assets to fund your Account.
(g) Limitation. Failure to comply with this Agreement may result in limitation, suspension or termination of your Account, or your access to certain features or functions of the Services. Strike will have no liability or responsibility for any permanent or temporary limitation or inability to access or use the Services, including your inability to withdraw the balance of your Account or execute transactions, as a result of any identity verification, screening, or other anti-money laundering, fraud, compliance or procedures. Strike reserves the right in its sole discretion to refuse to take on or maintain a customer relationship for any reason, subject to applicable law, including but not limited to situations where we have been unable to complete (to our satisfaction) our customer due diligence or verification procedures or where you have failed to provide information or documentation which we have requested relating to your Account, or otherwise where the relationship is outside our risk appetite.
(h) Usernames. You may select a unique alpha-numeric name to identify yourself on the Services ("Username"). You may not select a Username that misleads or deceives others as to your identity or creates an undue risk of fraudulent or mistaken payments, or which is otherwise contrary to our internal policies. You may be required to change your Username at our sole discretion.
(i) Statement of Business Activities. You agree that you will use the Services only for the specific business purposes and in connection with the products and services notified to us at account opening and permitted for your Account or as subsequently agreed in writing. You must notify us before making any material change to the nature, scope, or manner of your use of the Services. Any material change to the products or services you provide, your operating model, or the way in which you use the Services requires our prior written consent.

Services
(a) Strike provides you with the following Services: (i) the ability to buy and sell Bitcoin for supported Fiat currencies (exchange of crypto-assets for funds, and execution of orders) (“Conversion Services”), (ii) the ability to send or receive Bitcoin via the bitcoin network and/or the lightning network (“Transfer Services”), and (iii) bitcoin custody and administration services enabling you to store a Bitcoin balance (“Custody Services”). Strike does not provide any Services to you in respect of any crypto-asset other than Bitcoin.
Important notice relating to risks: By accepting this Agreement and using the Services, you acknowledge you have read, understand, and agree to the Risk Disclosures set forth in Appendix A, which include some specific risks associated with Bitcoin that you should be aware of.
(b) Limitations. Eligibility for certain Services may be subject to separate criteria, or may not be available to you depending on your location or other criteria. The Services are only available to residents of supported countries. It is your responsibility to inform us promptly if you change your residential address or become a resident or tax resident of a different country and failure to do so is a material breach of this Agreement. All transactions through the Services must satisfy the requirements that we may communicate to you from time to time on our website or in the Apps. Strike may in its sole discretion suspend or prevent any transaction that violates this Agreement, any restrictions or limitations on the Services, or any applicable law, regulation or regulatory requirement, or for any other reason including to comply with applicable law, regulation or regulatory requirement or its internal policies.
(c) Your bank account. To deposit or withdraw fiat funds you are required to link at least one valid bank account or payment institution account (a “Your Bank Account” or your “Payment Method”) to your Account, and this may in addition be required in order to use certain Services such as Conversion Services. Your Bank Account must be associated with a bank or payment institution in an eligible country, must belong to you and must be in your name. We may require you to provide us with documents to verify the details and the ownership of Your Bank Account including the source of funds. If we cannot verify the details of Your Bank Account or cannot verify that Your Bank Account belongs to you, you may not be able to use our Conversion Services. Fiat funds may only be deposited from Your Bank Account in your name and any withdrawal of Fiat funds must be to one of Your Bank Accounts. As used in this Agreement, “Fiat” means euros (EUR) for customers in all other eligible European countries, and pounds sterling (GBP) if you are a customer in the United Kingdom.
Your Bank Account, and any deposits of Fiat to or withdrawals of Fiat from your Strike account, must be exclusively in the supported Fiat currency for your account, and exclusively from or to a bank or payment institution account in an eligible country in your sole name which must match your verified name on your Strike account. Payments from or to third parties, or from business accounts, are not permitted. If (i) you attempt to deposit Fiat funds from, or withdraw Fiat funds to, an account in the name of a third party, or (ii) there is a mismatch between the name on your Strike account and the account to which or from which you are depositing or withdrawing Fiat funds, these transactions may fail or be reversed, and your account may be restricted.
(d) Third-Party Service Providers. Strike has partnered with third parties to facilitate, provide, or otherwise offer certain parts of the Services ("Third-Party Service Providers"). You may be required to enter into additional agreements with such Third-Party Service Providers in order to enable or access certain functions of the Services. Strike does not have control of, or liability for, the products or services offered by Third-Party Service Providers or for the performance of any Third-Party Service Providers.
(e) Fiat balances. Depending on the Services available to you, you may be provided with a Fiat currency balance which you can add to from Your Bank Account (aka ‘deposit’) and withdraw from to Your Bank Account. All Fiat funds deposited by you are received into a dedicated payment account provided to Strike by our payment account provider who itself has the appropriate payments and e-money licences and permits for such purpose. Fiat funds held for you by Strike will be held as client monies or funds with a credit institution (an EU authorised bank), deposited and held in accordance with the requirements and timelines of Article 70 of MiCA (defined below). Under applicable law, clients’ monies or funds are held as subject to fiduciary obligations. Fiat balances in your Account are to be used by you solely in connection with our Services such as purchasing Bitcoin through our Conversion Services, and cannot be stored in your Account indefinitely or used for any other purposes. Strike is not itself a payment service provider or credit institution and does not provide any payment services to you related to Fiat funds; your Strike Account is not a payment account or a bank account.
(f) Transaction Limits. We may, at our sole discretion and without notice to you, impose limits or restrictions on the size or quantity of transactions you can make. See our FAQ for more information.
(g) Balance Availability. All assets you transferred to your Account will be subject to our verification procedures and may not be available for immediate withdrawal or use. We reserve the right, in our sole discretion, to delay, hold, or otherwise limit access to assets in your Account if Strike perceives a risk of illegal activity or fraud or in order to secure your obligations under this Agreement or other agreements with us or our affiliates.
(h) No Cancellations, Refunds, or Reversals. All transactions or Orders that you authorise are final and irreversible. It is your responsibility to confirm that the information you submit to us is complete and accurate. Use of the Services to submit Orders or initiate transactions including Bitcoin Transfers is at your own risk. Strike is not responsible for making any refunds unless required under applicable law. You understand that if you input inaccurate transaction information (for instance, inaccurate destination account or address information for a Bitcoin Transfer or other transaction), your transaction may fail or may not reach your intended destination, your funds may be lost, and you may suffer losses, and Strike has no liability for such losses. You accept and acknowledge that neither Strike nor any of its Third-Party Service Providers is responsible for any errors or omissions that you make in connection with any transaction initiated via the Services, including, for instance, if you send funds to an incorrect address, or otherwise provide incorrect information. You agree to review your transactions and any information you submit relating to them carefully before completing them through the Services.
(i) Your Responsibility in the Event of a Negative Account Balance. In the event you transfer funds from Your Bank Account to your Account, and such transfer is rejected or reversed for any reason, you authorise us to reverse the corresponding credit to your Account and, if the reversal results in a negative Account balance, you agree to transfer to your Account the amount necessary to bring your Account balance to zero within three (3) business days. For purposes of this Agreement, our business days are Monday through Friday. Holidays are not included.
(j) Access. Although we endeavour to provide the Services as soon as we can, the timing of certain aspects of the Services may be subject to limitations of Third-Party Service Providers, such as financial institutions who only operate during banking hours. As a result, access to certain or all Services may become delayed from time to time, including due to unexpected increases in transaction volumes on a weekend or bank holiday.
(k) Receipts and Account Statements. You can find transaction receipts and periodic Account reports in the “Activity” tab of the Apps. We provide periodic Account statements through the Apps, and you have the ability to request an account statement from our support team. You can find periodic Account statements by navigating to the “Account” tab of the Apps, selecting the “Settings” icon, selecting “Documents,” and then selecting “Account Statements.” However, please note that nothing in your statements or reports should be treated as a valuation.
(l) Strike API, Integrated Services. Your ability to access and provide Integrated Services is subject to prior written agreement of Strike, and may be subject to conditions and separate terms and commercial arrangements. If your Account is enabled for Strike API and/or Integrated Services (as defined in Appendix B of this Agreement), then the additional terms Appendix B will apply, subject to any other additional terms and conditions between you and Strike.

Conversion Services
(a) Conversions. As part of the Services Strike may provide you, if eligible, with the ability to buy or sell Bitcoin (a “Conversion”) being a conversion of fiat funds to/from crypto-assets (Bitcoin) including an execution of your Order. Orders and Conversions will be subject to the applicable Rate, and to fees. Further information on fees is set out at Section 6 (Fees, Rates, and Taxes).
(b) Orders. You can initiate a Conversion through the Services by inputting an instruction to us (an “Order”) including the amount of Bitcoin that you wish to buy or sell. You are responsible for ensuring that the correct transaction amount is entered when you place an Order. All Orders that are executed (each, a “Transaction”), settle immediately and are recorded in your Account Activity where you can find the Transaction Receipt for that Transaction including the details of the Transaction. If you have an insufficient balance of the relevant asset in your Account to fulfil an Order (or any transaction), such transaction will not be completed. You agree and understand that Strike does not guarantee that any Order that you place will be filled. Transactions are irreversible once Orders are executed.
(c) Recurring Orders. Strike may give you the ability to set up recurring Orders to purchase or sell bitcoin on a schedule and in amounts that you instruct (a “Recurring Order”). If you initiate a Recurring Order, you authorise us to make recurring Conversions at the amounts and at the frequency you selected in the Services, at the applicable Rate and subject to the relevant fees at the relevant times, until you withdraw that authorisation. At the time of placing any Recurring Order you agree that each Recurring Order will be subject to the relevant Rates and Conversion Fees applicable at the time, which may be subject to change. You can withdraw this authorisation at any time by following the instructions in the Services. You may only have one Recurring Order frequency in place at a time. You may not receive prior notification of a Recurring Order before it occurs. Your Recurring Order may be cancelled if there is an insufficient balance in your Account. Any Recurring Orders scheduled for the 29th, 30th, or 31st day of a month will be processed on the earlier of the date scheduled or on the last day of the applicable month. Exact transaction times may vary. Strike may at any time, without notice to you, suspend or terminate a Recurring Order. For example, if you travel to a Restricted Jurisdiction, your Recurring Order may be suspended or terminated.
(d) Automated Conversions. Depending on the settings you apply to your Account, you may instruct Strike to carry out automated Conversions on your Account. This includes any “auto buy” features enabled for your Account, your “passive incoming payments” settings, or a Send Globally Transaction, a transfer to another Strike user, or where you instruct a transaction to be sent from or received to an Account balance in a different currency (for instance sending Bitcoin from a Fiat balance, or receiving a bitcoin transaction to a Fiat balance). Strike will carry out, and you authorise and instruct Strike to carry out, any automated Conversion at the relevant Rate and subject to any applicable fees at the time.
(e) Cross-Currency transactions. Where you instruct or receive a cross-currency transaction (for instance sending bitcoin from a Fiat currency balance, receiving bitcoin to a Fiat currency balance, or a Send Globally Transaction) including automated Conversions (a “Cross-Currency Transaction”) this will be deemed to constitute an Order instructed by you, which Strike will execute at the applicable Rate.
(f) Order Execution Policy. Strike is committed to executing Bitcoin buy and sell orders in the best interest of its clients. Strike has an Order Execution Policy that establishes and implements effective execution arrangements in relation to the provision of applicable services. The Order Execution Policy explains how we will execute customer Orders in accordance with Applicable Laws and Regulations to obtain the best possible results. By using the Services you expressly consent any agree to be bound by the Order Execution Policy. A copy of the Order Execution Policy is available on our website. Strike reviews its order execution strategy periodically and updates it based on significant market changes. Any significant updates to the Order Execution Policy will be brought to your attention by publishing a revised version of the Order Execution Policy on our website.
(g) Prefunding. You may only place an Order using the Services if your Account contains sufficient settled amounts of the relevant assets relating to that order.

Custody Services
(a) Custody Services. As part of the Services, Strike may provide you with the ability to hold a Bitcoin balance in your Account, with that bitcoin being held in custody and administered by Strike for you (collectively, “Custody Services”).
(b) Omnibus. All Bitcoin forming part of your Account balance is held by Strike on a custodial basis as clients’ assets. Under applicable law, clients’ assets are held as subject to fiduciary obligations. Strike may hold Bitcoin on an omnibus basis in one or more wallet addresses from time to time together with the assets of its other customers.
(c) Ownership. Ownership of your custodied Bitcoin will be clearly recorded in our books and records as belonging to you by Strike keeping a register of positions in the name of each client. Strike does not represent or treat custodied Bitcoin in your Account balance as assets belonging beneficially to Strike. You retain title to your Bitcoin at all times, and bear all risk of loss of your Bitcoin. Except as required by law, or except as provided herein, we will not sell, loan, hypothecate, or otherwise alienate your Bitcoin unless instructed by you.
(d) Custody Policy. Our Custody Policy aims to ensure that our custody services remain in line with Applicable Laws and Regulations, ICT standards and best practices. A summary of our Custody Policy containing further information on our custody services and security systems used may be accessed on our website at here: [link] or by contacting our customer support team.
(e) Statements and Reporting. You can access your statements of holdings any time via your account statements, available in-App. These are available at least monthly.

Transfer Services
(a) Transfer Services. As part of the Services, Strike may provide you with the ability to send or receive bitcoin over the Bitcoin Network or the Lightning Network (“Bitcoin Transfers”) (collectively “Transfer Services”).
(b) Initiating a Transfer. You may initiate a Bitcoin Transfer from your Account via the App, by instructing the sending or withdrawal of bitcoin from your Account. To initiate a Bitcoin Transfer you must provide certain information to Strike, including the destination bitcoin wallet address, the beneficiary name and address, the amount, and other information specified by Strike in the App (collectively “transfer information”). Your instruction to initiate a Bitcoin Transfer is only deemed to have been received by Strike once you have validly submitted the relevant transfer information in form and substance satisfactory to Strike. In respect of each instruction and/or submission of any transfer information or other information connected therewith submitted by you to Strike, you represent and warrant that such information is true, complete, and accurate in all respects. Where you are sending to a bitcoin network address that is classified as a ‘self-hosted address’ for example your own self-custody wallet, you represent and warrant to us that you are the sole owner and controller of that self-hosted address.
(c) Execution of transfers. When your bitcoin transaction involves sending or withdrawing bitcoin over the Lightning Network or Bitcoin Network, Strike will debit the requested amount of Bitcoin from your relevant Account balance and send the equivalent amount of bitcoin via the Lightning Network or Bitcoin Network to your designated recipient or wallet. Depending on your Service settings or instructions, you may be able to make Bitcoin Transfers to or from your Fiat currency balance (including your passive receive settings you select for your Account), which will involve a Cross-Currency Transaction. Bitcoin Transfers may be delayed as a result of latency, disruption, congestion, or other delay on the Bitcoin Network or Lightning Network.
(d) Accuracy of Instructions. You are solely responsible for providing accurate instructions for any Bitcoin Transfer you initiate, and providing accurate transfer information in respect of any Bitcoin Transfer you request, and Strike is not responsible, to the fullest extent permitted by applicable law, for any loss or delay incurred with respect to a transaction executed in accordance with your instructions.
(e) Transfer Fees. The fees, costs and charges associated with a Bitcoin Transfer will be displayed to you at the time through the Apps. Fees, costs and charges may differ depending on the selections you make in respect of the Bitcoin Transfer, including elections with respect to target settlement times, and network.
(f) Settlement Times. The estimated time of arrival (“ETA”) of your Bitcoin Transfer, if accepted and processed by Strike, will be displayed to you at the time of your instruction of that Bitcoin Transfer. ETAs are indicative estimates only. Final settlement time may be faster, or slower, than any specified ETA due to a variety of factors, including bitcoin network congestion, bitcoin block times, network fee spikes, and other factors. No representation or warranty is given by Strike to you with respect to the final settlement time of any Bitcoin Transfer initiated by you. Strike accepts no liability for the Bitcoin Transfer arriving at a time different to the indicated ETA.
(g) Bitcoin Deposits. When your Transaction involves receiving bitcoin over the Lightning Network or Bitcoin Network (a “Bitcoin Deposit”), the received amount of bitcoin will, subject to this Agreement including section 5(j), be credited to your to your bitcoin Account balance or, if based on your settings you have elected for the relevant amount to be credited to your Fiat currency balance, this will be a Cross-Currency Transaction and Strike will execute a Conversion of the net received amount of bitcoin to the relevant Fiat currency at the then-current Rate before crediting the resulting Fiat currency amount to your Account balance. The person sending bitcoin in connection with a Bitcoin Deposit is solely responsible for executing the transaction correctly, including using the correct wallet address and paying any applicable Bitcoin Network fees, Lightning Network fees, or other fees. On-chain Bitcoin Deposits using the Bitcoin Network must be recognized by a number of network confirmations, as determined by Strike at its sole discretion, and such Bitcoin Deposits may be delayed and in a pending state before appearing in your Account. Such a Bitcoin Deposit is not complete while it is in a pending state, and while in a pending state will not be available in your Account for your use in connection with the Services. Strike is not responsible for any erroneous or delayed Bitcoin Deposits (or crediting or dealing with any non-bitcoin asset) for any reason, including erroneous instructions or address information. We are not responsible for delays or loss incurred as a result of an error in the initiation of the transaction and have no obligation to assist in the remediation of such transactions. For every Bitcoin Deposit, you represent and warrant that the bitcoin transferred as part of that Bitcoin Deposit is not derived from, obtained as a result of, or otherwise connected with any breach of this Agreement or any applicable law.
(h) Sending to another Strike user. As part of the Services you may be able to send eligible assets to another Strike user. When sending a bitcoin amount, this may be sent over the Lightning Network or transferred as an internal balance transfer, and will be debited from your Account, and credited to the account of the recipient. If you send a Fiat currency amount to another Strike user, this will be carried out as a Cross-Currency Transaction and sent as bitcoin (not as Fiat currency) to the other user, and Strike will execute a Conversion of the Fiat amount to bitcoin, send that bitcoin amount to the recipient user (which may then be Converted to the recipient’s currency depending on the settings applied to their account), in each case at the applicable Rate.
(i) Additional Information. In order to initiate a Bitcoin Transfer, or in respect of a Bitcoin Transfer pending into your Account, we may require you to provide transfer information such as verification of the originator or beneficiary (as applicable), and details about them including their name, address, and source of funds. We may delay or refuse to execute any Bitcoin Transfer from your Account, or delay or refuse settlement of any pending Bitcoin Transfer to your Account, (i) where we have reason to believe or suspect that the transfer information is not correct, (ii) where you have insufficient balance and/or any negative balance, (iii) where the requested Bitcoin Transfer would be contrary to applicable law or our compliance and risk management procedures, or our risk appetite, or (iv) as required by law or in response to a subpoena, court order, or government order.
(j) Information accompanying transfers of bitcoin. To make a Bitcoin Transfer, you must provide information relating to the recipient (“beneficiary information”), which we will retain and use for the purposes of that transaction and any compliance checks relating to the transaction. Provision of beneficiary information is voluntary, but you may not be able to make a Bitcoin Transfer without providing it. You consent to us disclosing or transferring your information (as originator of the Bitcoin Transfer) and the beneficiary information you have provided to us, third parties including our Third-Party Service Providers and to other crypto-asset service providers (for example where the beneficiary address is controlled by a crypto-asset service provider), which may be located in other countries, including outside the European Union. Where a Bitcoin Transfer is to yourself (i.e. the recipient is you), you may confirm this to us, and we will use the information you have provided to us in connection with your Account and transfer information as beneficiary information, and you warrant that this is true, complete, and up to date. To receive a Bitcoin transaction to your Account from another wallet address or payer, you may be required to provide us with or verify information relating to the originator (“originator information”) of the relevant transaction, including their name, address, and other identifying information and if you are the originator we may require you to confirm or evidence this including verifying wallet ownership. We may use your information, beneficiary information, and originator information, for reasonably necessary purposes, including complying with applicable law (including Regulation (EU) 2023/1113 on information accompanying transfers of funds and certain crypto-assets), for the prevention and detection of crime, sanctions screening, anti-money laundering, or other purposes required by law such as regulatory or transaction reporting including by the relevant Third-Party Service Provider. To fulfil our legal obligations, we may request further originator information or beneficiary information from you, or information relating to the transaction such as its purpose, or evidence of the same. Where you are sending to or receiving from a bitcoin network address that is classified as a ‘self-hosted address’ for example your own self-custody wallet, you represent and warrant to us that you are the sole owner and controller of that self-hosted address. We may refuse or delay any Bitcoin Transfer where we are unable to obtain the requisite beneficiary information or originator information, or where you have not verified ownership of the relevant address, and this includes delaying crediting any Bitcoin Deposit or other bitcoin received to your Account whilst we obtain or verify any originator information or wallet ownership.
(k) Irreversibility warning. A TRANSACTION CANNOT BE REVERSED, MODIFIED, OR CANCELLED BY YOU ONCE IT HAS BEEN CONFIRMED BY YOU. You are solely responsible for ensuring that the transfer information is correct.
(l) Bitcoin only. The only crypto-asset that Strike supports for your Account is Bitcoin. Any Bitcoin Transfer must be to a Bitcoin-enabled wallet address, and you must only attempt to send Bitcoin to your Strike Account. Bitcoin for these purposes, and for the purposes of this Agreement and the Services is bitcoin, and is not ‘bitcoin cash’, ‘bitcoin SV’ or other assets that are not bitcoin. If you attempt to send any asset to your Account that is not Bitcoin, that asset (and any value associated with it) will be lost and unrecoverable. If you attempt to send Bitcoin in your Account to an external address that is not a valid Bitcoin-enabled wallet address, or which is not an address that you control, your assets may be lost and unrecoverable and you may suffer losses as a result. YOU ACKNOWLEDGE AND AGREE THAT STRIKE BEARS NO RESPONSIBILITY FOR THE ACCURACY OF YOUR INSTRUCTIONS OR FOR BITCOIN TRANSFERS YOU INSTRUCT, AND IS NOT LIABLE FOR ANY UNSUPPORTED ASSET THAT IS SENT TO YOUR ACCOUNT.

Fees, Rates, and Taxes
(a) Conversions. Each Conversion is an exchange of a Fiat currency and a crypto-asset by Strike (i.e. buying or selling bitcoin). Each Conversion is carried out at the applicable Rate, and may be subject to a fee, depending on the Service and your Account.
(b) Rates. The exchange rate (“Rate”) applied to a Conversion is based on the applicable exchange rates offered at the time by Strike in respect of the relevant Conversion and assets involved. Rates may include spreads such as third-party market spreads, or margin applied in order to hold the Rate for the duration of the quote and may be affected by market rates available to Strike at time. Rates may differ depending on the characteristics of the transaction, and may also differ from exchange rates provided by third parties.
(c) Conversion Fees. Strike charges a fee (a “Conversion Fee”) for buying and selling bitcoin, including Recurring Orders, that is calculated based on your monthly trading volume. We may adjust our Conversion Fees at any time. Please see our FAQ for more information.
(d) On-Chain transactions. When sending funds via the Bitcoin Network (known as an on-chain transaction), you may be required to pay a fee. You have the option to enhance the speed of final settlement by paying a fee. Paying a higher fee will result in your transaction being broadcast in the blockchain more quickly. Please see our FAQ for more information.
(e) Cross-Currency transactions. Where you instruct or receive a Cross-Currency Transaction the Rate will include a margin applied by Strike from which Strike earns revenue, and this Rate may differ from Rates applicable to other transactions such as Conversions or other rates you may see in the App or as part of the Services.
(f) Lightning transactions. For transactions sent to an external recipient over the Lightning Network, Strike will pass on the Lightning Network routing fee to you, which will be deducted from the transaction amount.
(g) Taxes. It is your responsibility to determine what, if any, taxes you owe in relation to: (i) transactions, including buying and selling bitcoin; and (ii) any other use of the Services. It is your responsibility to report and remit any such tax to the appropriate tax authority. You agree that Strike is not responsible for determining whether taxes apply to your use of the Services, including your transactions, or for collecting, reporting, withholding, or remitting any taxes arising from your use of the Services.

Communication
(a) Account communication. You agree and understand that all communication with you will be via email or within the Strike App. We will use in-App communication and/or the email address on record for your Account as our primary means of communicating with you. You acknowledge and understand that this is the only authorized way to contact us. You understand that every communication sent to your email on record will be deemed to have been acknowledged as correct, approved, and confirmed by you unless we have received written notice to the contrary within three calendar days from the date the communication was sent.
(b) Risk acknowledgement. Third parties may advertise or publish alternative methods purporting to be ways to contact Strike us or use other measures to pose as Strike. Always make sure you only contact Strike, or accept any communication purporting to be from Strike, from an authorised communication method: in the Strike App, or from [email protected] (or similar @strike.me email domain). If you are ever in any doubt whether a communication purporting to be from Strike is legitimate, please contact us at [email protected]. You agree that we cannot be held liable for unauthorized access to your account or other loss resulting from such fraud or other malfeasance by third parties.
(c) Contact details. To ensure that you receive all of our communications, you agree to keep your email address up-to-date and immediately notify us if there are any changes. It is your responsibility to ensure that your contact information for your Account is up to date. Delivery of any communication or notice from us to the current email address on record for your Account is considered valid. If any email communication is returned as undeliverable, we retain the right to block your access to the Services and Account until you provide and confirm a new and valid email address.

Data Usage and Ownership
(a) License. Strike grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services, subject to this Agreement. Strike reserves all rights not expressly granted to you in this Agreement. The Services are protected by copyright, trademark, and other laws. Nothing in the Agreement gives you a right to use, in any manner, the Strike name or any of the Strike trademarks, product names, logos, domain names, layout or design of any page or form contained on a page, other distinctive brand features, or other proprietary or intellectual property rights (including those of Strike’s affiliates "Strike Marks"). All right, title, and interest in and to the Services and the Strike Marks are and will remain the exclusive property of Strike or its relevant affiliate(s).
(b) Your Content. The Services may permit you to upload, submit, send, share, or post photos, documents, promotional programs, and other information or material ("Content"). Subject to the rights granted to us under this Agreement, you own your Content and retain all other rights. By providing Content, you grant us, our affiliates, and our successors, a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully-paid, transferable, and sub-licensable right to use, distribute, copy, modify, adapt, publish, prepare derivative works of, publicly perform, post, delete, publicly display, and distribute your Content in order to provide, operate, improve, promote, and market the Services and develop new services and products. Content you upload must comply with any restrictions in this Agreement. We reserve the right to delete or remove any Content upon the termination of your Account. You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power, or authority necessary for the submission and use of any Content that you provide on or through the Services. You agree that such Content will not contain material contrary to law, otherwise offensive, or subject to copyright or other proprietary rights, unless you have all required permissions or are otherwise legally entitled to post the Content and to grant Strike the rights in this Agreement.
(c) Feedback. We appreciate, and may solicit, feedback, comments, ideas, proposals, and suggestions for improvements to the Services ("Feedback"). If you choose to submit Feedback, including by leaving reviews on the App Store and Play Store or by sending us an email or any other electronic communication, you agree that we are free to use it without any restriction or compensation to you.

Recovery of Funds
You authorise Strike to recover funds from you that you owe us pursuant to this Agreement or any other agreement you have with us, including if you owe amounts to us or for reasons of fraud or illegal activity. You authorise Strike to debit, charge, setoff against, and otherwise recover funds from your Account or any other funding method, including by selling the bitcoin in your Account. If you have more than one Account with Strike, and even if you have those Accounts without our authorisation and in breach of this Agreement, we may set off a negative balance in one Strike Account against a balance in your other Strike Account(s). If you continue using your Account when you have amounts owed to us, you authorise us to recover amounts owed to us from any transaction sent from your Account. These authorisations are considered as an irrevocable mandate granted by way of security (and Strike declares to have an interest in the same) and will remain in full force and effect until the later of closure or termination of your Account, or the disbursement of all funds held on your behalf. If Strike is unable to recover the funds as described above, Strike may attempt to contact you or may take other legal actions to collect the amounts due, to the extent allowed by applicable law. We may also recover funds from your Account in connection with a disputed transaction. Strike is not liable for funds that we recover from your Account to cover: (i) a negative balance on your Account; (ii) amounts owed to Strike under this Agreement; or (iii) a pending dispute or chargeback.

Restrictions and Limitations on Use
(a) Restricted Uses. You will not do or attempt to do, and will not allow a third party to do, any of the following:

violate Strike's Acceptable Use Policy;
-
use any application programming interfaces belonging to Strike or its affiliates without Strike's express written consent, or otherwise access your Account other than through the Apps or Site;
-
access, tamper with, or use non-public areas of the Services, Strike's computer systems, or the technical delivery systems of Strike's providers;
-
attempt to probe, scan, or test the vulnerability of any Strike system or network or breach any security or authentication measures;
-
avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any restriction or technological measure implemented by Strike, any of Strike's providers, or any other third party (including another user) to protect the Services;
-
engage in or support or be part of or cooperate in any illegal, fraudulent, deceptive, or manipulative conduct, including any insider dealing, market abuse, manipulation, wash trading, front-running or any other illegal activities;
-
provide or allow the provision of inaccurate information with respect to a Bitcoin Transfer, such as inaccurate originator information or beneficiary information, or inaccurate or incomplete information relating to the ownership or control of any self-hosted address;
-
attempt to access or search the Services or download any information from the Services, through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software or search agents provided by Strike or other generally available third-party web browsers;
-
forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive, or false source-identifying information or payment requests;
-
attempt to decipher, decompile, disassemble, or reverse engineer any software used to provide the Services;
-
interfere with, or attempt to interfere with, the access of any user, host, or network to the Services, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
-
collect or store any personally identifiable information from the Services or from other users of the Services without their express permission;
-
impersonate or misrepresent your affiliation with any person or entity, including through the selection of your Username;
-
violate or seek to avoid or evade any applicable law or regulation; or
-
encourage, enable, or collaborate with any other individual to do any of the foregoing.
(b) Compliance with law. You agree that when you perform any transaction through the Services (including an Order, a Bitcoin Transfer, or any other deposit or withdrawal), you will comply with all applicable laws, and you will not make a Transaction that would violate, or the subject of which would violate, any applicable laws.
(c) Applicable Laws and Regulations. You agree that your use of Services is subject to the laws, regulations, and rules of any applicable governmental or regulatory authority (the “Applicable Laws and Regulations”) including, but not limited to: (i) Regulation (EU) 2023/1114 on Markets in Crypto-Assets (“MiCA”); (ii) the various regulatory technical standards, implementing technical standards, guidelines, recommendations and opinions issued pursuant to MiCA; (iii) the Markets in Crypto-Assets Act (Chapter 647, Laws of Malta) and any subsidiary legislation issued thereunder; (iv) the applicable rules for crypto-asset service providers issued by the Malta Financial Services Authority (“MFSA”); (v) the Prevention of Money Laundering Act (Chapter 373, Laws of Malta) and any subsidiary legislation issued thereunder; and (vi) the applicable Implementing Procedures issued by the Financial Intelligence Analysis Unit in Malta. You agree and understand that by opening an Account or using Services, you agree and understand to act in compliance with and be legally bound by this Agreement as well as the Applicable Laws and Regulations.
(d) Delay or refusal. We may refuse to make a transaction or delay a transaction (including fiat deposits and withdrawals, or inbound and outbound bitcoin transfers) for certain reasons, including if (i) we are required by Applicable Laws and Regulations to do so, (ii) we reasonably believe that your instruction is connected to, or is at material risk of being connected to, a scam, fraud or any other criminal activity (including where we reasonably believe you might be the victim of a scam or fraud), (iii) you are or we reasonably believe you are or may be in breach of this Agreement or any Applicable Laws and Regulations (or other applicable laws in your jurisdiction that apply to you or your activity), (iv) if you do not have sufficient balance, (v) if we require additional information from you and you have not given us that information to our reasonable satisfaction, (vi) we reasonably consider that such transaction would be outside our risk appetite or against our policies and procedures designed to comply with Applicable Laws and Regulations, (vii) we believe the transaction would be a deposit from or transfer to someone other than you, (viii) your Account is subject to a restriction or suspension at that time. Sometimes we need to make checks or ask you for further information before we can carry out an instruction, which may cause delays. This will also include where a Third Party Service Provider of ours delays, suspends, refuses, or puts into review such a transaction, for example if one of our payment partners or banking partners refuses to process a fiat deposit or withdraw to/from your Account pending further information which we need to obtain from you. You agree that we will not be liable for any losses or other liabilities resulting from any such delays or refusals. Please contact our support team if you have any questions relating to a delayed or refused transaction.
(e) Sanctions. You must comply with all Sanctions and any other export restrictions, end-user restrictions, or antiterrorism laws. You may not use the Services if you, or any persons that you control or that control you, or that are directly related to you, are subject to any Sanctions, or to send or receive any asset from any person subject to Sanctions or located in a country subject to Sanctions, or if you are located in a country subject to Sanctions, or where your use of the Services would violate any applicable law. In this Agreement, “Sanctions” means any economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by the United States of America (including by the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC)), the United Nations, the European Union, or the United Kingdom, or other relevant sanctions authority (or respectively any department of governmental authority of the foregoing).
(f) Restricted Jurisdictions. You also may not use the Services if you are located in, or a citizen or resident of, any other jurisdiction where Strike or its Third-Party Service Providers have determined to prohibit use of the Services (collectively, "Restricted Jurisdictions"). You agree to notify Strike and close your Account before establishing residency in any Restricted Jurisdiction. If you attempt to access your Account from a Restricted Jurisdiction, you are ordinarily a resident of a Restricted Jurisdiction, you are sending or attempting to transact with a person who is either subject to Sanctions or located in or a citizen of a Restricted Jurisdiction, or Strike believes that you are attempting such access or have become a resident of a Restricted Jurisdiction or may be attempting to make such a transaction, Strike may restrict your Account, and any pending transactions may be cancelled (including any recurring purchases). If this happens, you should contact [email protected], and you may be asked to provide supplemental information about the foregoing.
(g) Monitoring. We may monitor access to or use of the Services, either ourselves or by utilising one or more Third-Party Service Providers, for the purpose of operating the Services, to ensure compliance with this Agreement, to prevent fraud, for other compliance or risk monitoring purposes, or to comply with applicable law or other legal requirements. We have the right to investigate conduct that affects the Services or may constitute a violation of this Agreement or of applicable law. We reserve the right to disclose any information necessary to satisfy any applicable law, regulation, Sanctions programs, legal process, governmental request, law enforcement request, or any request of a financial institution connected with our Services or involved directly or indirectly in any transaction. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law. We may, at our discretion, delay or prevent any transaction if we perceive a risk of illegal activity, fraud, or other violation of our Anti-Money Laundering program or procedures or if such transaction is outside our risk appetite or contrary to our internal policies and procedures.
(h) Blocking IDs. In order to protect the integrity of the Services, we reserve the right, at any time, in our sole discretion, to block access to the Services from certain IP addresses and unique device identifiers.
(i) No Third-Party Commercial Use. You may not use the Services on behalf of a third party on a professional or commercial basis (i.e., for a fee), or for any purposes such as accepting donations. This does not apply where you use the Account for your own Business use.

Third-Party Content and Platforms
(a) Third-Party Content. The Services may make content provided by third parties available to you, including links to third-party websites or resources (collectively, "Third-Party Content"). You acknowledge that (i) Third-Party Content is not part of the Services, (ii) Strike is not responsible for Third-Party Content including, without limitation, content that may be misleading, incomplete, erroneous, offensive, indecent, or otherwise objectionable, and (iii) we provide the Third-Party Content to you only as a convenience. You further acknowledge sole responsibility for and assume all risk arising from your use of and interactions with any Third-Party Content or with any products or services from such third parties. Your use of Third-Party Content may be subject to additional terms or restrictions ("Third-Party Terms"). You are solely responsible for your compliance with any Third-Party Terms, and failure to comply with such terms may result in termination of your right to access any features or functions of the Services that utilize such Third-Party Content. If no Third-Party Terms are specified, you may use Third-Party Content solely in support of your use of the Services in accordance with this Agreement. You agree that you will not reproduce, sell, distribute, or otherwise commercially use Third-Party Content.
(b) Third-Party Platforms. You acknowledge sole responsibility for and assume all risks arising from your use of any third-party platforms, websites, services, add-ons, or products through which you access the Services or authorise to access the Services on your behalf ("Third-Party Platforms"). Third-Party Platforms are not part of the Services. Your use of Third-Party Platforms (i) is subject to your agreement with the relevant Third-Party Platform provider, (ii) may enable data exchange between the Services and the Third-Party Platform, and (iii) must comply with applicable terms of this Agreement, including terms relating to Restricted Jurisdictions. Strike does not control and has no liability for Third-Party Platforms, including their security, functionality, operation, availability, or interoperability, or how the Third-Party Platforms or their providers use your Content. If you enable a Third-Party Platform with the Service, you authorise us to access and exchange Content with the Third-Party Platform on your behalf. Authorisations with certain Third-Party Platforms can be managed, enabled, and terminated via https://auth.strike.me/.

Cancellation, Suspension, or Termination of Services
(a) We may, in our sole discretion and without any cost or liability to you, with or without prior notice and at any time, suspend, modify, or terminate, temporarily or permanently, all or any portion of our Services, establish certain transaction limits or trading limits, or terminate your Account, with or without reason, including, if we reasonably believe: (i) you create risk or possible legal exposure for us; (ii) our provision of the Services to you is no longer commercially viable; (iii) you have not accessed your Account in more than two years; or (iv) you breached any terms of this Agreement.
(b) We have the right to immediately cause your Account to be suspended, and the funds and assets in your Account may be frozen if: (i) we suspect, in our sole discretion, your Account to be in violation of this Agreement, applicable laws, or our Anti-Money Laundering, compliance, or risk management programs; (ii) we are requested or required to do so by applicable law, rule or regulation, or by a government or regulatory authority, applicable law, court order, or a facially valid subpoena or similar, or by a Third Party Service Provider including our payment partners or banking partners; (iii) your Account has a negative balance; (iv) a transfer to your Account from a linked Payment Method was reversed; (v) we believe there is unusual activity in your Account or that you are using your Credentials or your Account in an unauthorised or inappropriate manner or that you have provided access to your Account to a third party, permitted a third party to access your Account, or provided your Credentials to a third party; (vi) we are requested or required to do so from a law enforcement agency or similar governmental authority; (vii) you are using Integrated Services, or using Services for Commerce or other services, without our express agreement, or you are using Services for business activities not approved by Strike, or (viii) if you have not accessed your Account in more than two years. Your Account will remain suspended and funds and assets in your Account will remain frozen until a determination is made in the investigation by Strike, at which point Strike may determine to terminate your Account.
(c) Upon termination of your Account, and except in cases of fraud or where your funds and assets are recovered as described in Section 9 (Recovery of Funds) or otherwise frozen as described in sub-paragraph (b) above, Strike may in its discretion attempt to (i) convert any remaining Bitcoin balance to fiat, and (ii) cause any remaining Fiat balance to be withdrawn to a linked Payment Method. Strike will not be liable for any losses you may suffer in connection therewith. No other uses of your Fiat balance will be permitted upon Account termination. You will remain liable to Strike for all obligations incurred in your Account, whether arising before or after the termination of your Account or this Agreement.
(d) Any provision of this Agreement that naturally extends beyond the expiration or termination of the Agreement will continue to be binding and apply after such termination and expiration, including, but not limited to account credentials / security obligations, recovery of funds, data use and ownership, limitations of liability, governing law and dispute resolution, risk disclosures, and other general terms.

Disclaimers
(a) We may require you to meet certain requirements for Credentials and we may change the requirements with or without prior notice. You must ensure that your Credentials remain secure. Compromised Credentials may result in unauthorised use or access of your Account. You should always use two-factor authentication when available, always avoid copying scripts into your browser address bar, and avoid clicking on links, opening attachments, or visiting internet resources you do not trust. You are responsible for maintaining adequate security and control of any and all Credentials, IDs, passwords, hints, personal identification numbers (PINs), or any other codes that you use to access or in relation to the Services, including your email account and any phone numbers linked to your Account. We assume no responsibility for any losses resulting from the compromise of your Account.
(b) Downtime. The Services may be periodically unavailable during scheduled or unscheduled downtime, interruption or outage by Strike or its Third-Party Service Providers, which includes broad technical service providers and network infrastructure providers. Strike and its Third-Party Service Providers are not liable to you for any inconvenience or loss as a result of such downtime.
(c) Account activity. Your Orders and Transactions and other Account activity shall be deemed and treated as authorized and correct as ratified and confirmed by you unless we receive written notice to the contrary within three calendar days. It is your sole responsibility to review your transaction history and account activity, and any notices. You also understand that for the purposes of review and acknowledgment, you agree to be deemed to have reviewed your Account activity and all notices on at least a monthly basis. If for any reason you are unable to do so, or you do not receive our communications, it is your responsibility to contact us immediately.
(d) STRIKE DOES NOT PROVIDE ANY ADVICE AND ALL SERVICES ARE PROVIDED ON AN EXECUTION-ONLY BASIS. OUR APPS, WEBSITES, AND ANY OTHER INFORMATION OR COMMUNICATION SHOULD NOT BE CONSIDERED AS ANY FORM OF FINANCIAL OR INVESTMENT ADVICE. YOUR STRIKE ACCOUNT IS NOT A PAYMENT ACCOUNT, BANK ACCOUNT, OR SIMILAR. ANY REFERENCES TO “CASH” OR “CASH BALANCE” IS TO THE FIAT BALANCE AS DESCRIBED IN THIS AGREEMENT. STRIKE DOES NOT PROVIDE ANY CAPABILITIES WITH RESPECT TO PHYSICAL CASH.
(e) YOU ACCEPT AND ACKNOWLEDGE THAT THERE ARE RISKS ASSOCIATED WITH PARTICIPATING IN AND USING THE SERVICES INCLUDING, BUT NOT LIMITED TO, THE RISK OF UNKNOWN VULNERABILITIES IN OR UNANTICIPATED CHANGES TO THE SERVICES, THIRD-PARTY SERVICE PROVIDER SERVICES, AND UNDERLYING NETWORKS, INCLUDING THE LIGHTNING NETWORK. YOU ACKNOWLEDGE AND ACCEPT THAT STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE FOR ANY HARM OCCURRING AS A RESULT OF SUCH RISKS. YOU AGREE AND UNDERSTAND THAT BY USING OUR SERVICES AND PLACING ORDERS, YOU HAVE SUFFICIENT KNOWLEDGE TO PLACE SUCH ORDERS. YOU ARE RESPONSIBLE FOR MAKING SURE THAT ANY ORDERS PLACED BY YOU ARE ACCURATE AND INTENTIONAL.
(f) STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS AND TAKE NO RESPONSIBILITY FOR AND WILL NOT BE LIABLE TO YOU FOR ANY USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM: (A) USER ERROR; (B) SERVER FAILURE; (C) UNAUTHORISED ACCESS; (D) ANY UNAUTHORISED THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTE FORCING, OR OTHER MEANS OF ATTACK AGAINST THE SERVICES; (E) ANY ORDER NOT BEING EXECUTED FOR ANY REASON; (F) ANY LIMITATIONS PLACED ON YOUR ACCOUNT FOR ANY REASON OR ANY RESTRICTIONS ON YOUR ABILITY TO ACCESS ALL OR PART OF THE SERVICES AT ANY TIME; (G) ANY FORKS OR CHANGES IN THE UNDERLYING BITCOIN BLOCKCHAIN, OR (H) FAILURE OF ANY TRANSACTION FOR ANY REASON. STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE FOR OR IN CONNECTION WITH ANY FAILURE, ACTION, OR INACTION OF ANY THIRD-PARTY SERVICE PROVIDER, OR ANY LOSSES SUFFERED AS A RESULT.
(g) THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, STRIKE AND ITS AFFILIATES EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. STRIKE AND ITS AFFILIATES MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, VIRUS-FREE, OR ERROR-FREE BASIS. STRIKE AND ITS AFFILIATES MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE SERVICES. STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS OF ANY KIND, FROM ACTION TAKEN, OR TAKEN IN RELIANCE ON MATERIAL OR INFORMATION CONTAINED OR MADE AVAILABLE THROUGH THE SERVICES.
(h) YOU ACCEPT ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICES TO CONDUCT TRANSACTIONS, INCLUDING, BUT NOT LIMITED TO, IN CONNECTION WITH THE FAILURE OF ANY HARDWARE, SOFTWARE, SYSTEM, OR INTERNET CONNECTION OR ANY OF THE BLOCKCHAIN AND SIMILAR NETWORKS USED IN CONNECTION WITH THE SERVICES SUCH AS THE BITCOIN BLOCKCHAIN AND THE LIGHTNING NETWORK. THE NATURE OF CRYPTO-ASSETS MEANS THAT ANY TECHNOLOGICAL DIFFICULTIES EXPERIENCED BY STRIKE MAY PREVENT THE ACCESS OR USE OF YOUR BITCOIN.
(i) Supported Countries. Strike only provides services to customers in countries supported by it. If you move to or reside in a country or jurisdiction not supported by Strike you must inform us immediately.
(j) Non-solicitation. You agree and understand that all Orders received from you or in connection with Services are considered unsolicited, which means that you have not received any investment advice from us or any of our affiliates or any Strike personnel or Related Parties in connection with any Orders you place or other transactions you make or instruct. Accordingly we do not conduct a suitability review of any Orders you place, including those you place via our API. You also agree and understand that you have not and do not expect to receive any investment advice from us nor any of our affiliates in connection with your Orders. In addition, you agree and understand that your review of our blog, Strike Learn, and/or FAQ does not constitute any solicitation or investment advice.

Conflicts of Interest
Strike has a Conflicts of Interest Policy which sets out the effective organizational and administrative arrangements that have been put in place to identify, prevent, manage and monitor conflicts of interest that entail a material potential risk of damage to the interests of our clients. We will take all appropriate steps to prevent conflicts of interest from constituting or giving rise to a material risk of damage to the interests of our customers. Any conflicts of interest disclosure will be made available on our website in accordance with Applicable Laws and Regulations.
You agree and understand that we and our affiliates, shareholders, controlling persons, principals, directors, managers, officers, employees, and representatives or their respective affiliates (collectively, “Related Parties”) may directly or indirectly, including through interests in other entities, own, buy, sell, lend, borrow, or trade (each, to “Transact”) in Bitcoin for their own account or on behalf of other persons or entities. Without limiting any of our obligations under this Agreement or at law, you agree that we have no liability to you as a result of any Related Parties Transacting in Bitcoin.

Indemnity
You will indemnify and hold harmless Strike and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses (including, without limitation reasonable legal and accounting fees) arising out of or in any way connected with (a) your improper or unauthorised access to or use of the Services; and (b) your violation of this Agreement.

Limitations of Liability
(a) CONSEQUENTIAL DAMAGES WAIVER. NOTWITHSTANDING ANY OTHER SECTION OF THIS AGREEMENT, NEITHER STRIKE, ITS AFFILIATES, THIRD-PARTY SERVICE PROVIDERS, NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, TRADING LOSSES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT STRIKE, ITS AFFILIATES, OR ANY OTHER PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
(b) LIABILITY CAP. SUBJECT TO (c) BELOW, NOTWITHSTANDING ANY OTHER SECTION OF THIS AGREEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW AND OTHER THAN IN THE CASE OF FRAUD BY STRIKE, IN NO EVENT WILL STRIKE'S AND ITS AFFILIATES' TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED ONE HUNDRED EUROS (€100) (OR, IF YOU ARE LOCATED IN THE UNITED KINGDOM, £100).
(c) LIABILITY FOR LOSS OF CUSTODIED CRYPTO-ASSETS. SECTION (b) ABOVE SHALL NOT APPLY WITH RESPECT TO STRIKE’S LIABILITY FOR THE LOSS OF ANY SAFEKEEPING ASSETS HELD FOR YOU BY STRIKE AS PART OF ITS CUSTODY SERVICES PROVIDED TO YOU. STRIKE’S LIABILITY FOR THE LOSS OF ANY SAFEKEEPING ASSETS HELD FOR YOU AS PART OF SERVICES WILL BE CAPPED AT THE MARKET VALUE OF THE RELEVANT ASSET(S) THAT WERE ALLEGED TO BE LOST, IN ACCORDANCE WITH ARTICLE 75 MICA PROVIDED THAT STRIKE WILL NOT HAVE ANY LIABILITY FOR ANY LOSS CAUSED BY (1) AN INCIDENT THAT IS NOT ATTRIBUTABLE TO STRIKE, FOR EXAMPLE AN INCIDENT THAT OCCURRED INDEPENDENTLY OF THE PROVISION OF SERVICES HEREUNDER OR INDEPENDENTLY OF THE OPERATIONS OF STRIKE, (2) ANY OF THE RISKS SET OUT IN APPENDIX A (TO THE EXTENT NOT ATTRIBUTABLE TO STRIKE, (3) ANY ACTION STRIKE IS REQUIRED TO TAKE BY APPLICABLE LAW, (4) ANY CLOSURE OR RESTRICTION OF YOUR ACCOUNT.
(d) YOU AGREE AND UNDERSTAND THAT NEITHER WE NOR ANY OF OUR AFFILIATES SHALL BE LIABLE FOR DELAYS OR INTERRUPTIONS IN SERVICE CAUSED BY AUTOMATED OR OTHER COMPLIANCE CHECKS, REQUESTS FOR INFORMATION, OR RESTRICTIONS OR SUSPENSIONS OF SERVICE, OR FOR OTHER REASONABLE DELAYS OR INTERRUPTIONS IN SERVICE, BY DEFINITION TO INCLUDE ANY DELAY OR INTERRUPTION SHORTER THAN ONE WEEK, OR DELAYS OR INTERRUPTIONS IN SERVICE BEYOND THE CONTROL OF US OR ITS SERVICE PROVIDERS.
(e) BASIS OF BARGAIN AND FAILURE OF ESSENTIAL PURPOSE. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN STRIKE AND YOU. THE WAIVERS AND LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE.

Your Representations and Warranties
You represent and warrant that:
(a) You and the person operating or opening the Account on your behalf have all necessary right, power, authority, and ability to enter into and fulfill your obligations under this Agreement and your use of the Services;
(b) You are duly qualified and in good standing in each jurisdiction in which the conduct of your business requires you to so qualify; You have and maintain any authorizations, licenses, registrations or approvals (“Authorizations”) required in order to operate your business or carry out your activities or services;
(c) Your use of the Services will not contravene any applicable international, federal, state or local laws or regulations, including tax laws and regulations;
(d) Your use of the Services does and at all times will comply with all applicable laws;
(e) Your use, along with the use by your affiliates or representatives, or the use by your affiliates or representatives of the Services will violate neither this Agreement nor any other applicable terms, or any applicable law, rule, or regulation applicable to you or your business, activities, or services;
(f) All information that you have provided to us, and may from time to time provide to us, is and will continue to be true and complete;
(g) Unless the parties otherwise agree in writing, you will use the Services solely for your own business purposes and not to provide such services to or carry out transactions for or on behalf of or as an agent of any third party. You agree that you will only hold your own proprietary assets in a Business Account and we will treat you as the sole legal and beneficial owner of all assets in your Business Account other person.

Complaints
(a) Feedback, concerns, or questions. If you have any questions, would like to provide feedback, or would like more information, please contact our customer support in-App or via email to [email protected]. Usually contacting our support team is the simplest way for you to have any concerns addressed.
(b) Formal complaints. If our support team is unable to resolve your concern, or if you wish to complain in any circumstance, all clients of Strike have a right to file a formal complaint about a Service we have provided to them. We maintain appropriate procedures for the prompt, fair and consistent handling of any complaints made by our clients about a Service we provide. If you are a client, you can file a complaint free of charge, by submitting our Complaint Form. Our complaints handling procedures and a copy of our Complaint Form to complete to file a complaint, can be found on our website. We will investigate all complaints in a timely and fair manner, and communicate the outcome within a reasonable period of time.

Governing Law and Dispute Resolution
This Agreement and any action related thereto is governed by and interpreted in accordance with the laws of England and Wales. You can bring legal proceedings related to this Agreement in English courts, however, in the event of a conflict between this Agreement and any applicable law, the relevant applicable law shall prevail.

Privacy Notice
Strike collects your personal data and processes it in accordance with the provisions of (i) Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (“GDPR”) as well as (ii) other applicable acts and regulations related to processing of personal data. For more information on the processing of your personal data, please refer to the "Strike Global Privacy Notice" ("Privacy Notice", available at https://strike.me/privacy). We may update our Privacy Notice from time to time.
By accepting this Agreement and/or using the Services, you acknowledge that you understand the Privacy Notice and acknowledge, accept and consent to the collection, use, and disclosure of your personal information as set forth in the Privacy Notice. In providing the personal information of any individual (other than yourself) that may receive transactions from you as part of your use of the Services, you agree that you have obtained consent from such individual to disclose their personal information to us, as well as their consent to our collection, use, storage, and disclosure of such personal information, in the manner and for the purposes set out in our Privacy Notice.

General Terms
(a) Entire Agreement. This Agreement incorporates the applicable Policies by reference and constitutes the entire and exclusive understanding and agreement between Strike and you regarding the Services, and this Agreement supersedes and replaces any and all prior oral or written understandings or agreements between Strike and you regarding the Services. If any provision of this Agreement is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of this Agreement will remain in full force and effect. You may not assign or transfer this Agreement, by operation of law or otherwise, without Strike's prior written consent. Any attempt by you to assign or transfer this Agreement, without such consent, will be null. Strike may freely assign or transfer this Agreement without restriction. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns. In the event that Strike, its parent entity, or substantially all of the assets used in connection with providing the Services is or are acquired by or merged with another entity, Strike may transfer or assign the information Strike has collected from you as part of such change of control.
(b) Notices. Any notices or other communications provided by Strike under this Agreement, including those regarding modifications to this Agreement, will be given by: (i) posting to our website or Apps, or (ii) email.
(c) Waiver of Rights. Strike's failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of Strike. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or at law.
(d) Interpretation. For purposes of this Agreement, (i) the words "include", "includes", and "including" shall be deemed to be followed by the words "without limitation"; (ii) the word "or" is not exclusive; (iii) all pronouns and any variation thereof will be deemed to refer to the masculine and feminine, and to the singular or plural as the identity of the person or persons may require for proper interpretation of this Agreement, and (iv) the words "herein", "hereof", "hereby", "hereto", and "hereunder" refer to this Agreement as a whole. Unless the context otherwise requires, references herein: (x) to Sections, Appendices, and Addenda refer to the Sections of, and Appendices, and Addenda attached to this Agreement; (y) to an agreement, instrument, or other document means such agreement, instrument or other document as amended, supplemented, and modified from time to time to the extent permitted by the provisions thereof and (z) to a statute means such statute as amended from time to time and includes any successor legislation thereto and any regulations promulgated thereunder. This Agreement shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted. The Appendices and Addenda referred to herein, if any, shall be construed with, and as an integral part of, this Agreement to the same extent as if they were set forth verbatim herein. Captions and headings of the sections and paragraphs of this Agreement are intended solely for convenience and no provision of this Agreement is to be construed by reference to the caption or heading of any section or paragraph.
(e) Event of Death. In the event of your death, the representative of your estate or the survivor(s) shall give Strike written notice as soon as practicable. In such event, Strike may cancel all open orders or transactions, including recurring transactions, and Strike will not be responsible for any action taken on transactions or orders made prior to Strike's actual receipt of notice of death and a reasonable amount of time thereafter. Further, Strike may in its discretion close out any part or all of your Account without awaiting the appointment of a personal representative for your estate and without demand upon or notice to any such personal representative. We may, before or after receiving such written notice, take such proceedings, require such papers or waivers, or restrict transactions in your Account as we may deem advisable, which may include the liquidation of any bitcoin balances in your Account.
(f) Unclaimed Property. If there are funds in your Account and we have no record of you accessing the Services for several years and are unable to contact you, then we reserve the right to convert any bitcoin to applicable Fiat at the Rate obtainable at the time and (where required, or at our discretion) deliver such funds back to Your Bank Account last notified to us by you, and/or deliver any such funds to the applicable state or jurisdiction as unclaimed property.
(g) Policies, Disclosures, and Acceptable Use Policy. By accepting this Agreement and using the Services, in addition to this Agreement, you agree to the terms of and agree to be bound by the Acceptable Use Policy, and any additional policies, provisions, conditions and disclosures (including regulatory disclosures) provided to you for your use of the Services (collectively, the “Policies”), which may include Strike’s policies for various Services, and/or terms and conditions from third parties, including those published on our website from time to time including at https://strike.me/legal/.
(h) Use of Test, Trial, and Beta Versions and Features. We periodically launch new features and functions as part of the Services. You acknowledge that: (a) the Services may not operate properly, be in final form, or be fully functional at all times; (b) the Services may contain errors, design flaws, or other problems; (c) it may not be possible to make the Services fully functional; and (d) use of the Services may result in unexpected results, corruption, or loss of data, or other unpredictable damage or loss. You assume all risk arising from any test, trial or beta versions, features, or use of the Services.
(i) Disclosures. Various disclosures including required regulatory disclosures, are provided to you electronically via our website, at https://strike.me/legal/, including relating to conflicts of interests, risks, custody and other matters. You acknowledge these disclosures. We periodically update these by publishing revised vesions on our website. It is your responsibility to check for the latest versions of the various disclosures. Sustainability disclosures as required by MiCA and Delegated Regulation (EU) 2025/442 and other requirements, are available here and may be updated from time to time.

Changes to Agreement or Services
We may update this Agreement at any time (including the Policies), at our sole discretion. If we do so, we will deliver a notice by posting the updated Agreement on the Apps and on the Site, and potentially through other communication(s) deemed appropriate by us. Accordingly, it is important that you review this Agreement on our Apps or Site regularly for updates, including when you use the Services. If you continue to use the Services after we have posted an updated Agreement, you are agreeing to be bound by the updated Agreement. If you do not agree to be bound by the updated Agreement, then you may not use the Services anymore. As our Services evolve, we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.
Feel free to print and keep a copy of this Agreement, but please understand that we reserve the right to change any of these terms and conditions at any time. But don’t worry, you can always find the latest version of this Agreement on our website.
Appendix A: Risk Disclosures
Investment risks. All investment carries risks. The value of any assets (bitcoin) you purchase through the Services may rise and fall, and your capital is at risk. Bitcoin’s price should be expected to be volatile. Past performance is not indicative of future results.
Market risks. Bitcoin prices can be highly volatile and subject to rapid fluctuations. You may incur substantial losses in a short time, including the full value of your investment.
No financial advice. Strike does not provide financial advice. You are solely responsible for assessing your own circumstances, and determining whether our Services are suitable for you. Nothing in this Agreement, our product, our Services, or any communications with you (or any marketing or public statements by the Firm or its representatives) is a recommendation or financial advice to you by the Firm.
Own account. When you make decisions relating to your Strike account you are acting for your own account. You are solely responsible for making their own independent decisions, including compliance with applicable legal, tax, and regulatory requirements.
Tax. The tax treatment of bitcoin varies by jurisdiction and may change over time. You are solely responsible for understanding and complying with your local tax obligations related to your Account, transactions, and capital gains.
General. We are not responsible for delays or loss incurred as a result of an error in the initiation of bitcoin transactions and have no obligation to assist in the remediation of bitcoin transactions. Bitcoin transferred over the Bitcoin Network must be recognized by a number of network confirmations, and bitcoin sent to you in this manner may be delayed and in a pending state before appearing in your Account. Bitcoin Network transactions are not complete while pending, and while in a pending state the applicable bitcoin will not be available in your Account for your use in connection with the Services. If you or a third party attempts to send any asset other than bitcoin from an external wallet to your Account, such asset may be lost and may not be recoverable, and you may incur losses as a result. For the avoidance of doubt, the only crypto-asset supported by the Services in respect of your Account is bitcoin, and Strike does not support “bitcoin cash,” “bitcoin SV,” or similar assets that are not bitcoin.
Networks. Strike does not own or control the Bitcoin or Lightning Networks that underlie the Services. Strike disclaims all liability relating to such Networks and makes no guarantees regarding the security, functionality, or availability of such Networks.
Forks. By using the Services, you acknowledge and agree that the underlying Bitcoin Network is subject to sudden changes in operating rules (known as “Forks”), and that such Forks may materially affect the value, function, or even the name of bitcoin. A Fork of the Bitcoin Network could also disrupt the Lightning Network, potentially for a significant period of time. In the event of a Fork, you agree that we may temporarily suspend operations (with or without advance notice to you) and that we may, in our sole discretion, decide whether or not to support (or cease supporting) either branch of the forked Network protocol entirely. You acknowledge and agree that Strike assumes no responsibility whatsoever with respect to an unsupported branch of a forked Network protocol. In the event of a Fork that results in the creation of a new asset in addition to bitcoin (such asset, the “Forked Asset”) you acknowledge that you have no claim or rights to any Forked Assets, and that your sole claim will be in respect of an amount equal to your applicable bitcoin balance in your Account.
Cybersecurity Risk. Despite robust safeguards, no system is immune to hacking, phishing, or malware attacks. Unauthorized access to accounts or systems may result in loss or theft of assets. You are responsible in addition for maintaining the security of your account credentials and two-factor authentication methods, and ensuring no third party has access to your account.
Additional Bitcoin Risks. Your use of the Services is subject to the following additional conditions and risks: (i) bitcoin transactions are irreversible and cannot be reversed, modified, or cancelled once confirmed by you, and, accordingly, losses due to fraudulent or accidental transactions may not be recoverable and Strike is not liable for any fraudulent or accidental transactions; (ii) bitcoin values can fluctuate substantially, which may result in a partial or total loss of the value of bitcoin that you purchase or hold; (iii) legislative and regulatory changes or actions at the state, federal, or international level may adversely affect the use, transfer, exchange, and value of bitcoin; (iv) the Bitcoin Network is maintained by a vast unidentified private computer network spread around the world, and transacting in bitcoin or on the Bitcoin Network is at your own risk and understanding of this network; (v) the Bitcoin Network is a target for fraud, and fraud may result when you engage in transactions with external bitcoin addresses; (vi) bitcoin is a target for hackers and theft, and hacking and irretrievable theft can occur even when the strongest security settings are used; (vii) some bitcoin transactions are deemed to be made when confirmed on the Bitcoin Network, which may be different from the time at which you initiated such transaction; (viii) the value of bitcoin may be derived from the continued willingness of market participants to exchange Fiat currency for bitcoin, which may result in the potential for permanent and total loss of value of a particular bitcoin should the market for that bitcoin disappear; (ix) any bitcoin transaction may be canceled, lost, or double spent, or otherwise lose all or most of its value due to forks, rollbacks, attacks, or failures to operate as intended; and (x) there is no assurance that a person who accepts bitcoin as payment today will continue to do so in the future.
Appendix B: Strike API, Integrated Services, and Platforms
(a) Strike API. Strike may in its discretion provide you with access to Strike’s application programming interface (the “Strike API”) and similar software for you to use, access or integrate our Services. Access to and use of the Strike API requires a separate Services Agreement that may include additional terms and conditions. The Strike API may be updated or upgraded from time to time and there may be cases where you are required to update or upgrade your integrations to remain compatible, and it is your sole responsibility to do so. If you access the Strike API you agree and understand that for the purposes of Section 7 of the Agreement we may communicate with you via the Strike API in addition to via email or within the Strike App.
(b) Integrated Services. Your ability to access and provide Integrated Services is subject to prior written agreement of Strike, and may be subject to conditions and separate terms and commercial arrangements. If agreed in a Services Agreement you may integrate the Strike API, and Strike Services, into your product, platform, or service including to enable you to provide services to third parties (collectively, “Integrated Services”). Access to and use of Integrated Services is subject to separate terms and conditions and commercial arrangements. Where you have been approved for Integrated Services, you will only use the Strike API and/or Strike Services for the specific products, purposes, and services approved by Strike from time to time.
(c) Strike Acceptable Use Policy The Acceptable Use Policy and any updates thereto apply to your use of the Services. Use of the Services in any manner in violation of the Acceptable Use Policy is prohibited. If we discover or believe that you have violated, or attempted to violate, any term, condition, or the spirit of the Acceptable Use Policy, your license to, ability to use, and access to the Services may be suspended or terminated, at our sole discretion, with or without notice. You will provide us with prompt notice of any change to your use of the Services, your business activities, or the manner in which you carry on those business activities that may impact the level of risk (including reputational risk) to Strike or the Services.
(d) OAuth and orchestration. Where you utilize the Strike API to connect to any other Strike Business Account or orchestrate services on behalf of another Strike user or account-holder (including via OAuth or similar technologies) or enable another Strike user or account holder to connect their Strike account to your platform or service in any way via the Strike API or OAuth capabilities (collectively “OAuth Services”) (i) you indemnify and hold harmless Strike for any losses or liabilities incurred or suffered by you, Strike or any Strike user or customer directly or indirectly due to your use of OAuth Services (ii) you are solely responsible for the operation and security of your platform but undertake to Strike that you will operate and maintain your platform consistent with generally accepted industry best practices (including with respect to information security, data protection, and privacy, and at all times in compliance with applicable law, (iii) you will comply in full with all data protection and privacy laws applicable to you or to the relevant user utilizing OAuth Services, (iv) at all times you will comply the Acceptable Use Policy and in particular will not use OAuth Services in any manner not expressly approved by Strike in a Services Agreement, or in any manner designed to collect or store any information from users without their express permission, or take any action not expressly approved by the relevant user. Access to this functionality will be subject to separate agreement set out in the Services Agreement with you.
(e) Platform Providers. Unless otherwise prohibited by Strike, where agreed in a Services Agreement you may use an e-commerce or other platform provider (a “Platform Provider”) to assist you in using and incorporating Strike. You may be required to enter into additional agreements with a Platform Provider in order to use the Platform Provider’s platform, products, or services or to enable the Services with such platform, products, or services. Use of a Platform Provider may enable data exchange between the Services and Platform Provider and you consent to such data exchange. Strike does not have control of, or liability for, the platforms, products, or services offered by a Platform Provider, and you agree that your use of such platforms, products, or services is subject to the separate written agreement between you and the Platform Provider. You agree that any Platform Provider’s use of Strike is done solely on your behalf.
(f) Commerce. Your ability to use Services to process or facilitate your sale of goods or services to a Payer (each, a “Commerce Payment”) is subject to explicit prior written agreement of Strike, and may be subject to conditions and separate terms and commercial arrangements. You may not use the Services to accept Commerce Payments without explicit prior agreement in writing with Strike. If Commerce Payments are enabled for your Account, the following additional terms apply: (1) You, and your Platform Provider if applicable, are solely responsible for managing your relationship with any person utilising the Services to make a payment to you (“Payer(s)”), including order fulfilment, cancellations, refunds, returns, customer service policies, providing dated receipts (to the extent required by applicable law), providing customer support, pricing, rebates, and warranties. (2) If we receive a complaint from a Payer regarding you or your provision of goods or services to that Payer, we will send it to you for resolution. (3) In the event you use the Services to process or facilitate any Commerce Payments you will provide such Payer with a receipt (a “Receipt”). Receipts must (i) be provided for each successfully processed Commerce Payment, (ii) disclose that the Commerce Payment was processed by Strike, unless you and Strike have agreed otherwise, and (iii) otherwise comply with applicable law. We reserve the right to terminate Accounts that receive excessive or egregious complaints. (4) You may not directly or indirectly charge Payers for use of the Services without our consent. (5) We do not currently support bitcoin refunds. Any refunds to a Payer will have to be done separately, by you. You should update your refund terms accordingly, if applicable.
