These Strike Business Terms and Conditions (the “Terms”) are a legal agreement between your business (a company, corporation, limited liability company, organisation, educational institution, agency, or other legal entity) (“you” or “your”) and E4, S.A. de C.V. dba Strike or Strike.me ("Strike", “E4”, "we", "us", or "our") governing the use of Strike’s products and services through our mobile device and web-based applications (“Apps”) and, where applicable, our website located at https://strike.me (the “Site”). To make this Agreement easier to read, the Apps, and the services that we provide through the Apps and the Site are collectively referred to in this Agreement as the “Services.” You may not access or use any of the Services unless you agree to abide by all of the terms and conditions in these Terms.
These Terms are exclusively for business customers of E4 in eligible jurisdictions outside the United States (US), United Kingdom (UK), and European Economic Area (EEA) and are separate to the terms applicable to individual customers of E4 or customers of any other Strike affiliate. E4 does not serve customers in the US, UK, or EEA.

Agreement to Terms
By tapping or clicking on “Agree,” creating a Business Account, entering into an agreement with Strike that incorporates these Terms or otherwise relates to Services (a “Services Agreement”), or by accessing and using the Services, you acknowledge and agree to the Terms, the Acceptable Use Policy, and any additional provisions and conditions provided to you for your use of the Services (collectively, the “Policies”), which may include terms and conditions from third parties.

Privacy Notice
Please refer to the "Strike Global Privacy Notice" ("Privacy Notice", available at https://strike.me/privacy) for information on how we collect, use, and disclose information, including your personal information. You acknowledge and agree that through your use of the Services, you consent to the collection, use, and disclosure of your information as set forth in the Privacy Notice. In providing the personal information of any individual (other than yourself) in connection with your Business Account including individuals that may receive transactions from you as part of your use of the Services, you agree that you have obtained consent from such individual to disclose their personal information to us, as well as their consent to our collection, use, storage, and disclosure of such personal information, in the manner and for the purposes set out in our Privacy Notice.

Changes to Terms or Services
We may update these Terms at any time (including the Policies), at our sole discretion. If we do so, we will deliver a notice by posting the updated Terms on the Apps and the Site, and potentially through other communication(s) deemed appropriate by us. Accordingly, it is important that you review these Terms on our Site regularly for updates, including when you use the Services. If you continue to use the Services after we have posted updated Terms, you are agreeing to be bound by the updated Terms. If you do not agree to be bound by the updated Terms, then you may not use the Services anymore. As our Services evolve, we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

Eligibility and Account Creation
(a) Eligibility. To use the Services, you must create an account with Strike (“Business Account”) and agree to these Terms (in addition to any other conditions specified in a Services Agreement, where applicable). To open a Business Account and use the Services, either for yourself or on behalf of a legal entity, you must be at least 18 years of age, capable of forming a binding contract, in compliance with these Terms (including the Policies), and not prohibited from using the Services under applicable law. We may establish additional eligibility criteria at our discretion. Services are only available in eligible countries, and in our discretion we may not provide Services (or may provide limited services) in one or more countries from time to time or determine that one or more countries are Restricted Jurisdictions.
(b) Your Information. To open and maintain a Business Account, you must provide Customer Information to us and/or our Third-Party Service Providers. You warrant that any Customer Information you provide to us and/or our Third-Party Service Providers is accurate and complete, and must keep any Customer Information relating to your Business Account current. You agree to notify us promptly if any Customer Information you have previously provided is updated or changes, or if there are any anticipated changes to your business or financial condition, your ownership structure (in particular if there will be any new ultimate beneficial owners or controller(s) of your entity or group), your regulatory status, or your business activities (for instance you are changing the way in which you operate, the business that you do, or how you use our Services). You authorise us to retrieve information about you and your business from our Third-Party Service Providers and other third parties, including credit reporting agencies, banking partners, and information bureaus, and you authorise and direct those third parties to compile and provide that information to us. “Customer Information” for these purposes means information about you or your business that we require in order to open or maintain your Business Account, which may include information (i) about you, or your representatives’, name, address, credit history, banking relationships, and financial history, (ii) that we require to comply with applicable laws or internal requirements relating to know-your-customer, anti-money-laundering, or other similar requirements, (iii) about your business such as your activities, services, ownership structure, governance structure, customers, End Users, jurisdictions, operating model, financials, etc., (iv) about your compliance processes such as your anti-money-laundering processes, screening procedures, control structures, and other compliance procedures, and (v) designating a Payment Method. Strike is not responsible for any errors in Customer Information, including Payment Method information. Depending on your status, use of the Services or our risk determination, we may, in our sole discretion, require identity verification, screening procedures, or enhanced verification ("Enhanced Business Account Verification"), and as part of Enhanced Business Account Verification we may also request, and you agree to provide, additional information or documentation to confirm your identity or verify any information you have previously provided, or to confirm or verify the identity of any sender of any transfer to your Business Account or any recipient of any transfer from your Business Account, substantiate the accuracy of your account information, verify your regulatory classification, or confirm your purpose in using the Services or a particular transaction, or other information such as your or any of your beneficial owners’ or control persons’ source of funds, or source of wealth.
(c) Further information, and assessments. In some circumstances, we may be obligated by applicable law or the policies of a Third Party Service Provider to require you to undertake certain appropriateness assessments and other categorisation processes, in order to be able to access and use the Services on an ongoing basis. These assessments and categorisation measures may need to be renewed from time to time. You agree that if you are unable to pass any such appropriateness assessments or be categorised as required on an ongoing basis, then Strike will be unable to provide the Services to you, and may be required to withdraw your access to any Services that you then-currently have access to.
(d) Your Business Account Credentials and Security Obligations. When you create a Business Account, you must retain access to the Business Account-linked email, your personal identification number and any other credentials that are used to access your Business Account (collectively, "Credentials") to continue to access your Business Account and to use the Services. You must maintain the security of your Business Account by protecting your Credentials and Business Account-linked devices, not disclose your Credentials to anyone, and immediately notify us if you discover or otherwise suspect any unauthorised use of or access to your Business Account. You are responsible for all activities that occur on your Business Account, whether or not you know about them. You are solely responsible for the security of the third party email account which you use as part of your Credentials or to access your Business Account. You agree to cooperate fully with the legal authorities and Strike in any investigation of activity on your Business Account. You may only register one personal Business Account. To protect yourself from unauthorised activity in your Business Account, you should regularly log into your Business Account and review your Business Account history and your Business Account statement.
(e) Limitation. Failure to comply with this Section 4 may result in limitation, suspension or termination of your Business Account, or your access to certain features or functions of the Services. Strike will have no liability or responsibility for any permanent or temporary limitation or inability to access or use the Services, including your inability to withdraw the balance of your Business Account or execute transactions, as a result of any identity verification, screening, or other anti-money laundering, fraud, compliance or procedures. Strike reserves the right in its sole discretion to refuse to take on or maintain a customer relationship for any reason, subject to applicable law, including but not limited to situations where we have been unable to complete (to our satisfaction) our customer due diligence or verification procedures or where you have failed to provide information or documentation which we have requested relating to your Business Account, or otherwise where the relationship is outside our risk appetite.
(f) Usernames. You may select a unique alpha-numeric name to identify yourself on the Services ("Username"). You may not select a Username that misleads or deceives others as to your identity or creates an undue risk of fraudulent or mistaken payments. You may be required to change your Username at our sole discretion.
(g) Statement of Business Activities. If you enter into a Services Agreement (which includes any merchant agreement or other agreement with Strike) in which you are required to specify the products or services that you provide, you agree that the use of the Services will only be used to support the products / services listed on such agreement. If you wish to use the Services to support other products or services, you must notify us beforehand.
(h) Review. Your use of the Services is subject to our ongoing review and approval. We reserve the right to review, evaluate, and test your use of the Services, including for security, performance, compliance, and user experience. To facilitate our review, you agree to provide reasonably requested information. We reserve the right to update our registration, review, or approval processes at any time. You will provide prior notice to us in the event of any change or addition to the types or nature of your business, your Customer Information, or the products and / or services you provide. If you plan to change the ways in which you use or plan to use Strike Services, or your products or platforms utilizing Strike Services, you shall seek our prior written consent.

Services
(a) Strike provides you with the following Services: (i) the ability to buy and sell Bitcoin for other Supported Assets, (ii) the ability to send or receive Bitcoin via the bitcoin network and/or the Lightning Network, (iii) bitcoin custody and administration services enabling you to store a Bitcoin balance, and (iv) any other services described in Appendix A (Product Terms).
(b) Supported Assets. The Services currently support Bitcoin and, depending on your jurisdiction and the assets enabled for your Business Account, USDT or fiat currency as further described in Appendix A (collectively, “Supported Assets”).
(c) Product Terms. The Services available to you may differ depending on your country, and other eligibility requirements determined by Strike. This may determine the Supported Assets available to you, Payment Methods or other funding or purchase methods available to you, and the Services available to you in the Site or App provided by Strike or Third-Party Service Providers. The Services available to you will be displayed to you in the Site or App. Important additional terms and conditions relating to specific Services and products, and related to the Supported Assets enabled for your Account, are set out in Appendix A (Product Terms) which is incorporated into this Agreement.
(d) Limitations. Eligibility for certain Services may be subject to separate criteria, including Enhanced Business Account Verification, or may not be available to you depending on your location or other criteria. The Services are only available to residents of supported countries, and different Services may have different supported countries. It is your responsibility to inform us promptly if you change your residential address or become a resident or tax resident of a different country and failure to do so is a material breach of these Terms. All transactions through the Services must satisfy the requirements that we may communicate to you from time to time on the Site or in the Apps. Strike may in its sole discretion suspend or prevent any transaction that violates Section 12 (Restrictions and Limitations on Use) or any other section of these Terms, to comply with applicable law, regulation or regulatory requirement, or for any other reason.
(e) Third-Party Service Providers. Strike has partnered with third parties to facilitate, provide, or otherwise offer certain parts of the Services ("Third-Party Service Providers"). You may be required to enter into additional agreements with such Third-Party Service Providers, and/or the Services may be subject to terms and conditions from those Third-Party Service Providers, in order to enable or access certain functions of the Services. Strike does not have control of, or liability for, the products or services offered by Third-Party Service Providers or for the performance of any Third-Party Service Providers.
(f) Transaction Limits. We may, at our sole discretion and without notice to you, impose limits or restrictions on the size or quantity of transactions you can make as part of any Service. These limits may be different depending on the Service, your account activity, or other factors determined by us in our discretion. See our FAQ for more information.
(g) Balance Availability, and Further Information. All assets you transferred to your Business Account will be subject to our verification procedures and may not be available for immediate withdrawal or use. We reserve the right, in our sole discretion, to delay, hold, or otherwise limit access to assets in your Business Account if Strike perceives a risk of illegal activity or fraud or in order to secure your obligations under these Terms. We may request further information from you before we are able to credit assets to your Business Account or process deposits or withdrawals or any assets, including information and evidence relating to your source of funds, source of wealth, the source or destination of payment, or other additional verification measures such as Enhanced Business Account Verification.
(h) No Cancellations, Refunds, or Reversals. All transactions or Orders that you authorise are final and irreversible. It is your responsibility to confirm that the information you submit to us is complete and accurate. Use of the Services to submit Orders or initiate transactions including bitcoin or other cryptoasset transfers is at your own risk. Strike is not responsible for making any refunds unless required under applicable law. You understand that if you input inaccurate transaction information (for instance, inaccurate destination account or address information for a Bitcoin Transfer or other transaction), your transaction may fail or may not reach your intended destination, your funds may be lost, and you may suffer losses, and Strike has no liability for such losses. You accept and acknowledge that neither Strike nor any of its Third-Party Service Providers is responsible for any errors or omissions that you make in connection with any transaction initiated via the Services, including, for instance, if you send funds to an incorrect address, or otherwise provide incorrect information. You agree to review your transactions and any information you submit relating to them carefully before completing them through the Services.
(i) Your Responsibility in the Event of a Negative Business Account Balance. In the event you transfer funds from a Payment Method to your Business Account, and such transfer is rejected or reversed for any reason, you authorise us to reverse the corresponding credit to your Business Account and, if the reversal results in a negative Business Account balance, you indemnify us for the absolute amount of such negative balance, and you agree to transfer to your Business Account the amount necessary to bring your Business Account balance to zero within three (3) business days. For purposes of these Terms, our business days are Monday through Friday. Holidays are not included.
(j) Access. Although we endeavour to provide the Services as soon as we can, the timing of certain aspects of the Services may be subject to limitations of Third-Party Service Providers, such as financial institutions who only operate during banking hours. As a result, access to certain or all Services may become delayed from time to time, including due to unexpected increases in transaction volumes on a weekend or bank holiday. We may, in our discretion, determine that its necessary or appropriate to suspend or limit one or more Services, as determined in our sole discretion, including for the purposes of compliance with these Terms, a requirement of Third-Party Service Providers, or any legal, regulatory, or administrative obligation or guidance.

Conversion Services
(a) Conversions. As part of the Services, Strike may provide you, if eligible, with the ability to buy or sell Bitcoin (a “Conversion”) being a conversion between Bitcoin and another Supported Asset.
(b) Orders. You can initiate a Conversion through the Services by inputting an instruction to us (an “Order”) including the amount of Bitcoin that you wish to buy or sell. Orders and Conversions will be subject to the applicable Rate, and to fees. See Section 9 for further information. You are responsible for ensuring that the correct transaction amount is entered when you place an Order. If you have an insufficient balance of the relevant asset in your Business Account to fulfil an Order (or any transaction), such transaction will not be completed. You agree and understand that Strike does not guarantee that any Order that you place will be filled.
(c) Recurring Orders. Strike may give you the ability to set up recurring Orders to purchase or sell bitcoin on a schedule and in amounts that you instruct (a “Recurring Order”). If you initiate a Recurring Order, you authorise us to make recurring Conversions at the amounts and at the frequency you selected in the Services, at the applicable Rate and subject to the relevant fees at the relevant times, until you withdraw that authorisation. At the time of placing any Recurring Order you agree that each Recurring Order will be subject to the relevant Rates and fees applicable at the time, which may be subject to change. See Section 9 for further information. You can withdraw this authorisation at any time by following the instructions in the Services. You may only have one Recurring Order frequency in place at a time. You may not receive prior notification of a Recurring Order before it occurs. Your Recurring Order may be cancelled if there is an insufficient balance in your Business Account. Any Recurring Orders scheduled for the 29th, 30th, or 31st day of a month will be processed on the earlier of the date scheduled or on the last day of the applicable month. Exact transaction times may vary. Strike may at any time, without notice to you, suspend or terminate a Recurring Order. For example, if you travel to a Restricted Jurisdiction, your Recurring Order may be suspended or terminated.
(d) Automated Conversions. Depending on the settings you apply to your Business Account, you may instruct Strike to carry out automated Conversions on your Business Account. This includes (where applicable) any “auto buy” features enabled for your Business Account, your “passive income payments” settings, a transfer to another Strike account, or where you instruct a transaction to be sent from or received to a Balance in a different currency (for instance sending Bitcoin from another Supported Asset balance, or receiving a bitcoin transaction to another Supported Asset balance). Strike will carry out, and you authorise and instruct Strike to carry out, any automated Conversion at the relevant Rate and subject to any applicable fees at the time. See Section 9 for further information.
(e) Cross-Currency transactions. Where you instruct or receive a cross-currency transaction (for instance sending bitcoin from another Supported Asset balance, receiving bitcoin to another Supported Asset balance, or other cross-currency transactions) including automated Conversions (a “Cross-Currency Transaction”) this will be deemed to constitute an Order instructed by you, which Strike will execute at the applicable Rate.
(f) Fees, Rates, and Taxes. Conversions are subject to fees and applicable rates and taxes, see Section 9 (Fees, Rates, and Taxes) for further information.

Bitcoin Balances
(a) Bitcoin balances. As part of the Services, Strike may provide you with the ability to hold a Bitcoin balance in your Business Account, with that bitcoin being held in custody and administered by Strike for you.
(b) Omnibus. All Bitcoin forming part of your Business Account balance is held by Strike on a custodial basis. Strike may hold Bitcoin on an omnibus basis in one or more wallet addresses from time to time together with assets of its other customers.
(c) Ownership. Ownership of your custodied Bitcoin will be clearly recorded in our books and records as belonging to you. Strike does not represent or treat custodied Bitcoin in your Account balance as assets belonging beneficially to Strike.

Bitcoin Transfers
(a) Bitcoin Transfers. As part of the Services, Strike may provide you with the ability to send or receive bitcoin over the Bitcoin Network or the Lightning Network (collectively, “Bitcoin Transfers”).
(b) Initiating a Bitcoin Transfer. You may initiate a Bitcoin Transfer from your Business Account via the Site or App, by instructing a sending or withdrawal of bitcoin from your Account. To initiate a Bitcoin Transfer you must provide certain information to Strike, including the destination address, the beneficiary name and address, the amount, and other information specified by Strike in the Site or App (collectively “transfer information”). Your instruction to initiate a Bitcoin Transfer is only deemed to have been received by Strike once you have submitted the relevant transfer information in form and substance satisfactory to Strike. In respect of each instruction and/or submission of any transfer information or other information connected therewith submitted by you to Strike, you represent and warrant that such information is true, complete, and accurate in all respects. Where you are sending to a bitcoin network address that is classified as a ‘self-hosted address’ for example your own self-custody wallet, you represent and warrant to us that you are the sole owner and controller of that self-hosted address.
(c) Execution of a Bitcoin Transfer. When you initiate a Bitcoin Transfer, Strike will debit the requested amount of Bitcoin from your relevant Business Account balance and send the equivalent amount of bitcoin via the Lightning Network or Bitcoin Network to your designated recipient or wallet. Depending on your Service settings or instructions, you may be able to make Bitcoin Transfers to or from another Supported Asset balance (including your passive receive settings you select for your Business Account), which will involve a Cross-Currency Transaction (see Section 9). Bitcoin Transfers may be delayed as a result of latency, disruption, congestion, or other delay on the Bitcoin Network or Lightning Network.
(d) Accuracy of Instructions. You are solely responsible for providing accurate instructions for any Bitcoin Transfer you initiate, and providing accurate transfer information in respect of any Bitcoin Transfer you request, and Strike is not responsible, to the fullest extent permitted by applicable law, for any loss or delay incurred with respect to a transaction executed in accordance with your instructions.
(e) Transfer Fees. The fees, costs and charges associated with a Bitcoin Transfer will be displayed to you at the time of your instruction. Fees, costs and charges may differ depending on the selections you make in respect of the Bitcoin Transfer, including elections with respect to target settlement times, and network.
(f) Settlement Times. The estimated time of arrival (ETA) of your Bitcoin Transfer, if accepted and processed by Strike, will be displayed to you at the time of your instruction of that Bitcoin Transfer. ETAs are indicative estimates only. Final settlement time may be faster, or slower, than any specified ETA due to a variety of factors, including bitcoin network congestion, bitcoin block times, network fee spikes, and other factors. No representation or warranty is given by Strike to you with respect to the final settlement time of any Bitcoin Transfer initiated by you. Strike accepts no liability for the Bitcoin Transfer arriving at a time different to the indicated ETA.
(g) Bitcoin Deposits. When your transaction involves receiving bitcoin over the Lightning Network or Bitcoin Network (a “Bitcoin Deposit”), Strike will credit the received amount of bitcoin to your bitcoin Business Account balance or, if based on your settings you have elected for the relevant amount to be credited to your other Supported Asset balance, this will be a Cross-Currency Transaction (see Section 9) and Strike will execute a Conversion of the net received amount of bitcoin to the relevant Supported Asset at the then-current Rate before crediting the relevant resulting Supported Asset amount to your Business Account balance. The person sending bitcoin in connection with a Bitcoin Deposit is solely responsible for executing the transaction correctly, including using the correct wallet address and paying any applicable Bitcoin Network fees, Lightning Network fees, or other fees. On-chain Bitcoin Deposits using the Bitcoin Network must be recognized by a number of network confirmations, as determined by Strike at its sole discretion, and such Bitcoin Deposits may be delayed and in a pending state before appearing in your Business Account. Such a Bitcoin Deposit is not complete while it is in a pending state, and while in a pending state will not be available in your Business Account for your use in connection with the Services. Strike is not responsible for any erroneous or delayed Bitcoin Deposits (or crediting or dealing with any non-bitcoin asset) for any reason, including erroneous instructions or address information. We are not responsible for delays or loss incurred as a result of an error in the initiation of the transaction and have no obligation to assist in the remediation of such transactions. For every Bitcoin Deposit, you represent and warrant that the bitcoin transferred as part of that Bitcoin Deposit is not derived from, obtained as a result of, or otherwise connected with any breach of these Terms or any applicable law.
(e) Additional Information. In order to initiate a Bitcoin Transfer, or in respect of a Bitcoin Transfer pending into your Business Account, you may be required to provide additional information such as sender or recipient information, verification of the sender wallet or source of funds. We may also delay or refuse settlement of any pending Bitcoin Transfer to your Business Account as required by law or in response to a subpoena, court order, or government order. A TRANSACTION CANNOT BE REVERSED, MODIFIED, OR CANCELED ONCE IT HAS BEEN CONFIRMED BY YOU.
(f) Bitcoin only. The only virtual asset that Strike supports is Bitcoin. Any Bitcoin Transfer must be to a Bitcoin-enabled wallet address, and you must only attempt to send Bitcoin to your Strike Business Account. Bitcoin for these purposes, and for the purposes of these Terms and the Services is bitcoin, and is not ‘bitcoin cash’, ‘bitcoin SV’ or other assets that are not bitcoin. If you attempt to send any asset to your Business Account that is not Bitcoin, that asset (and any value associated with it) will be lost and unrecoverable. If you attempt to send Bitcoin in your Business Account to an external address that is not a valid Bitcoin-enabled wallet address, your assets may be lost and unrecoverable and you may suffer losses as a result. YOU ACKNOWLEDGE AND AGREE THAT STRIKE BEARS NO RESPONSIBILITY AND IS NOT LIABLE FOR ANY UNSUPPORTED ASSET THAT IS SENT TO YOUR ACCOUNT.

Fees, Rates, and Taxes
(a) Conversions. Each Conversion is an exchange between Supported Assets in respect of your account by Strike. Each Conversion is carried out at the applicable Rate, and may be subject to a fee, depending on the Service and your Business Account. Strike charges a fee for buying and selling bitcoin, including Recurring Orders, that is calculated based on your monthly trading volume. We may adjust our fees at any time. Please see our FAQ for more information.
(b) Rates. The exchange rate (“Rate”) applied to a Conversion or other transaction is based on the applicable exchange rates offered at the time by Strike in respect of the relevant Conversion or transaction and the assets involved. Rates may include spreads such as third-party market spreads, or margin applied in order to hold the Rate for the duration of the quote and may be affected by market rates available to Strike at the time. Rates may differ depending on the characteristics of the transaction, and may also differ from exchange rates provided by third parties.
(c) On-Chain transactions. When sending funds via the Bitcoin Network (known as an on-chain transaction), you may be required to pay a fee. You have the option to enhance the speed of final settlement by paying a fee. Paying a higher fee will result in your transaction being broadcast in the blockchain more quickly. Please see our FAQ for more information.
(d) Other fees. Other fees for Services, or that may apply in respect of one or more Payment Methods, will be displayed to you or notified to you in the Site or App.
(e) Cross-Currency transactions. Where you instruct or receive a Cross-Currency Transaction the associated Rate used for the Conversion in connection with the Cross-Currency Transaction may differ from Rates applicable to other transactions such as Conversions or other rates you may see as part of the Services.
(f) Lightning transactions. For transactions sent to an external recipient over the Lightning Network, Strike will pass on the Lightning Network routing fee to you, which will be deducted from the transaction amount.
(g) Taxes. It is your responsibility to determine what, if any, taxes you owe in relation to: (i) transactions, including buying and selling bitcoin; and and (ii) any other use of the Services. It is your responsibility to report and remit any such tax to the appropriate tax authority. Strike does not provide any tax advice or tax reporting services to you. You agree that Strike is not responsible for determining whether taxes apply to your use of the Services, including your transactions, or for collecting, reporting, withholding, or remitting any taxes arising from your use of the Services.

Intellectual Property and Data Usage
(a) License. Strike grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services, subject to these Terms. Strike reserves all rights not expressly granted to you in these Terms. The Services are protected by copyright, trademark, and other laws. Nothing in the Terms gives you a right to use, in any manner, the Strike name or any of the Strike trademarks, product names, logos, domain names, layout or design of any page or form contained on a page, other distinctive brand features, or other proprietary or intellectual property rights (including those of Strike’s affiliates "Strike Marks"). All right, title, and interest in and to the Services and the Strike Marks are and will remain the exclusive property of Strike or its relevant affiliate(s).
(b) API and Integrated Services. Without limitation to (a), Strike or its licensors own all intellectual property rights subsisting in the Strike API and related materials. If Strike grants you access to the Strike API, or enables Integrated Services, you are granted a limited, non-exclusive and non-transferable personal license (without the right to sub-licence) only to use the Strike API and/or Integrated Services for the specific purposes for which access has been granted, and subject to any terms set out in the relevant Services Agreement or other agreement between you and Strike relating to the Services and the Strike API. You must not create or attempt to create any work, product, or service based on our or our licensors’ intellectual property, or use the Strike API or use or attempt to use Integrated Services in any way that has not been approved by Strike.
(c) Product Development. We are continually developing additional services and products. Nothing in these Terms limits our right to develop services, products, or systems similar to or competitive with any of your products or services.
(d) Usage Data. Strike may collect certain technical logs, data, learnings, and information regarding your use of the Services (“Usage Data”). We may generate and use Usage Data to operate, improve, analyse, and support the Service and for our other lawful business purposes.
(e) Feedback. We appreciate, and may solicit, feedback, comments, ideas, proposals, and suggestions for improvements to the Services ("Feedback"). If you choose to submit Feedback, you agree that we are free to use it and any aspect or part of it including any idea, concept, or innovation in it, without any restriction, obligation, or compensation to you. By giving Feedback, you assign any intellectual property rights in that Feedback to us.

Recovery of Funds
You authorise Strike to recover funds from you that you owe us or Third-Party Service Providers pursuant to these Terms or any other agreement you have with us, including if you owe amounts to us or for reasons of fraud or illegal activity. You authorise Strike to debit, charge, setoff against, and otherwise recover funds from your Business Account or any Payment Method, including by selling the bitcoin or other Supported Asset(s) in your Business Account. If you have more than one Business Account with Strike, and even if you have those Business Accounts without our authorisation and in breach of these Terms, we may set off a negative balance in one Strike Business Account against a balance in your other Strike Business Account(s). For the purposes of any cross-currency set-off involving different currencies or assets, we may convert any amounts, assets or obligations into any other currency at the applicable exchange rate as determined by us. For the purposes of any set-off, we may exercise our rights of set-off to obligations that are due now or in the future, and regardless of whether they arise under these Terms. If you continue using your Business Account when you have amounts owed to us, you authorise us to recover amounts owed to us from any transaction sent from your Business Account. These authorisations will remain in full force and effect until the later of closure or termination of your Business Account, or the disbursement of all funds held on your behalf. If Strike is unable to recover the funds as described above, Strike may attempt to contact you or may take other legal actions to collect the amounts due, to the extent allowed by applicable law. We may also recover funds from your Business Account in connection with a disputed transaction. Strike is not liable for funds that we recover from your Business Account to cover: (i) a negative balance on your Business Account; (ii) amounts owed to Strike under these Terms; or (iii) a pending dispute or chargeback.

Restrictions and Limitations on Use
(a) Strike Acceptable Use Policy. The Acceptable Use Policy and any updates thereto apply to your use of the Services. Use of the Services in any manner in violation of the Acceptable Use Policy is prohibited. If we discover or believe that you have violated, or attempted to violate, any term, condition, or the spirit of the Acceptable Use Policy, your license to, ability to use, and access to the Services may be suspended or terminated, at our sole discretion, with or without notice. You will provide us with prompt notice of any change to your use of the Services, your business activities, or the manner in which you carry on those business activities that may impact the level of risk (including reputational risk) to Strike or the Services.
(b) Compliance. You agree that when you perform any transaction through the Services (including an Order, a Bitcoin Transfer, or any other deposit or withdrawal or other transaction connected with the Services), you will comply with all applicable laws, and you will not make or attempt to make a transaction that would violate, or the subject of which would violate, any applicable laws.
(c) Sanctions. You must comply with all Sanctions and any other export restrictions, end-user restrictions, or antiterrorism laws. You may not use the Services if you, or any persons that you control or that control you, or that are directly related to you, are subject to any Sanctions, or to send or receive any asset from any person subject to Sanctions or located in a country subject to Sanctions, or if you are located in a country subject to Sanctions, or where your use of the Services would violate any applicable law. In these Terms, “Sanctions” means any economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by the United States of America (including by the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC)), the United Nations, the European Union, or the United Kingdom, or other relevant sanctions authority (or respectively any department of governmental authority of the foregoing).
(d) Restricted Jurisdictions. You also may not use the Services if you are located in, or a citizen or resident of, any other jurisdiction where Strike or its Third-Party Service Providers have determined to prohibit use of the Services (collectively, "Restricted Jurisdictions"). You agree to notify Strike and close your Business Account before establishing residency in any Restricted Jurisdiction. If you attempt to access your Business Account from a Restricted Jurisdiction, you are ordinarily a resident of a Restricted Jurisdiction, you are sending or attempting to transact with a person who is either subject to Sanctions or located in or a citizen of a Restricted Jurisdiction, or Strike believes that you are attempting such access or have become a resident of a Restricted Jurisdiction or may be attempting to make such a transaction, Strike may restrict your Business Account, and any pending transactions may be cancelled (including any recurring purchases). If this happens, you should contact [email protected], and you may be asked to provide supplemental information about the foregoing.
(e) Monitoring. We may monitor access to or use of the Services, either ourselves or by utilising one or more Third-Party Service Providers, for the purpose of operating the Services, to ensure compliance with these Terms, to prevent fraud, for other compliance or risk monitoring purposes, or to comply with applicable law or other legal requirements. We have the right to investigate conduct that affects the Services or may constitute a violation of these Terms or of applicable law. We reserve the right to disclose any information necessary to satisfy any applicable law, regulation, Sanctions programs, legal process, governmental request, law enforcement request, or any request of a financial institution connected with our Services or involved directly or indirectly in any transaction. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law. We may, at our discretion, delay or prevent any transaction if we perceive a risk of illegal activity, fraud, or other violation of our Anti-Money Laundering program or procedures or if such transaction is outside our risk appetite or contrary to our internal policies and procedures.
(f) Blocking IDs. In order to protect the integrity of the Services, we reserve the right, at any time, in our sole discretion, to block access to the Services from certain IP addresses and unique device identifiers.
(g) No Third-Party Commercial Use. You may not use the Services on behalf of a third party on a professional or commercial basis (i.e., for a fee).

Your Representations and Warranties
You represent and warrant that:
(a) You have all necessary right, power, authority, and ability to enter into and fulfill your obligations under these Terms and your use of the Services;
(b) You are duly qualified and in good standing in each jurisdiction in which the conduct of your business requires you to so qualify, and that you have and will maintain any Authorizations required in order to operate your business or carry out your activities or services;
(c) Your use of the Services will not contravene any applicable international, federal, state or local laws or regulations, including tax laws and regulations;
(d) Your use of the Services does and at all times will comply with all applicable anti-money laundering/anti-terrorist funding compliance laws and regulations, including, without limitation, all OFAC-administered sanctions programs and any other sanctions programs that may apply to you based on the jurisdiction(s) in which you operate your business and serve Payers, merchants, or End Users;
(e) Your use, along with the use by your affiliates or representatives, or the use by your affiliates or representatives of the Services will violate neither these Terms nor any other applicable terms, or any applicable law, rule, or regulation applicable to you or your business, activities, or services. You have and maintain any authorizations, licenses, registrations or approvals (“Authorizations”) required in order to operate your business or carry out your activities or services;
(f) All information that you have provided to us, and may from time to time provide to us, is and will continue to be true and complete;
(g) Unless the parties otherwise agree in writing, you will use the Services solely for your own corporate purposes and not to provide such services to or carry out transactions for or on behalf of or as an agent of any third party. You agree that you will only hold your own proprietary assets in a Business Account and we will treat you as the sole legal and beneficial owner of all assets in your Business Account other person;
(h) You will comply (and will ensure that all of your representatives, officers, and employees comply) with these Terms and any Services Agreement, at all times; and
(i) You are solely responsible for your End Users, and you will comply (and will ensure they comply) at all times with our Acceptable Use Policy. If you are an Aggregator or otherwise use the Services on behalf of your customers or End Users, you have conducted sufficient due diligence on any such third parties you provide services to, and that you have ensured each such third party is compliant with the Acceptable Use Policy and that that no such third party is conducting any illegal or prohibited activity.

Use of Test, Trial, and Beta Versions and Features
We may offer test or sandbox accounts or environments as part of the Services (“Test Accounts”). You may only use Test Accounts for the internal development or testing of your integration with the Services. As Test Accounts are for development or testing purposes only, you may not use any Payer or transaction information with Test Accounts. You agree that we are not obligated to provide Test Accounts, have no liability for your access or use of Test Accounts, and are not responsible for the security or privacy of any data contained in Test Accounts and may access, modify, or delete such data at any time for any reason. You must not provide access to any Test Account to anyone else.

Third-Party Content and Platforms
(a) Third-Party Content. The Services may make content provided by third parties available to you, including links to third-party websites or resources (collectively, "Third-Party Content"). You acknowledge that (i) Third-Party Content is not part of the Services, (ii) Strike is not responsible for Third-Party Content including, without limitation, content that may be misleading, incomplete, erroneous, offensive, indecent, or otherwise objectionable, and (iii) we provide the Third-Party Content to you only as a convenience. You further acknowledge sole responsibility for and assume all risk arising from your use of and interactions with any Third-Party Content or with any products or services from such third parties. Your use of Third-Party Content may be subject to additional terms or restrictions ("Third-Party Terms"). You are solely responsible for your compliance with any Third-Party Terms, and failure to comply with such terms may result in termination of your right to access any features or functions of the Services that utilize such Third-Party Content. If no Third-Party Terms are specified, you may use Third-Party Content solely in support of your use of the Services in accordance with these Terms. You agree that you will not reproduce, sell, distribute, or otherwise commercially use Third-Party Content.
(b) Third-Party Platforms. You acknowledge sole responsibility for and assume all risks arising from your use of any third-party platforms, websites, services, add-ons, or products through which you access the Services or authorise to access the Services on your behalf ("Third-Party Platforms"). Third-Party Platforms are not part of the Services. Your use of Third-Party Platforms (i) is subject to your agreement with the relevant Third-Party Platform provider, (ii) may enable data exchange between the Services and the Third-Party Platform, and (iii) must comply with applicable terms of these Terms, including terms relating to Restricted Jurisdictions. Strike does not control and has no liability for Third-Party Platforms, including their security, functionality, operation, availability, or interoperability, or how the Third-Party Platforms or their providers use your Content. If you enable a Third-Party Platform with the Service, you authorise us to access and exchange Content with the Third-Party Platform on your behalf. Authorisations with certain Third-Party Platforms can be managed, enabled, and terminated via https://auth.strike.me/.

Cancellation, Suspension, or Termination of Services
(a) By You. Subject to the terms of any other agreement you may have with Strike (including any Services Agreement), you may terminate these Terms at any time by closing your Business Account, settling any outstanding obligations you owe to Strike, and ceasing any and all use of the Services.
(b) By Strike. Subject to the terms of any other agreement you may have with Strike (including any Services Agreement), we may terminate or suspend your access to the Services (in whole or in part) for any reason or no reason by providing you notice.
(c) Effect of Business Account Termination. Upon termination or suspension (i) any and all rights and licenses granted to you under these Terms will terminate, and (ii) you will cease all use of the Services. Strike will have no liability to you or any third party for the termination or suspension of these Terms or your access to the Services. You will remain responsible for performing your obligations in connection with transactions entered into before termination and for any liabilities that accrued before or as a result of termination. Any provision of these Terms that naturally extends beyond the expiration or termination of the Terms will continue to be binding and apply after such termination and expiration, including, but not limited to account credentials / security obligations, recovery of funds, data use and ownership, limitations of liability, governing law and dispute resolution, risk disclosures, and other general terms.
(d) Payout. Any funds that we are holding in custody for you at the time of Business Account closure, less any applicable fees, will be paid out, subject to these Terms. We may hold your funds as described in these Terms if there is an ongoing investigation or dispute. Upon the conclusion of the investigation or dispute, we will pay out any funds you are entitled to.

Disclaimers
(a) We may require you to meet certain requirements for Credentials and we may change the requirements with or without prior notice. You must ensure that your Credentials remain secure. Compromised Credentials may result in unauthorised use or access of your Business Account. You should always use two-factor authentication when available, always avoid copying scripts into your browser address bar, and avoid clicking on links, opening attachments, or visiting internet resources you do not trust. You are responsible for maintaining adequate security and control of any and all Credentials, IDs, passwords, hints, personal identification numbers (PINs), or any other codes that you use to access or in relation to the Services, including your email account and any phone numbers linked to your Business Account. We assume no responsibility for any losses resulting from the compromise of your Business Account.
(b) Downtime. The Services may be periodically unavailable during scheduled or unscheduled downtime by Strike or its Third-Party Service Providers. Strike and its Third-Party Service Providers are not liable to you for any inconvenience or loss as a result of such downtime.
(c) Third-Party Service Providers. Certain Services are facilitated by unaffiliated Third-Party Service Providers. Strike does not guarantee the performance, solvency, or regulatory status of such third parties. Use of these services may be subject to delays, limits, failures, or additional terms and conditions imposed by such providers. Strike is not liable for any loss arising from a third party’s act, system failure, or regulatory restriction.
(d) No advice. Strike does not provide any advice and all services are provided on an execution-only basis. Our Apps, websites, and other information or communication should not be considered as any form of financial or investment advice.
(e) STRIKE DOES NOT PROVIDE ANY ADVICE AND ALL SERVICES ARE PROVIDED ON AN EXECUTION-ONLY BASIS. OUR APPS, WEBSITES, AND ANY OTHER INFORMATION OR COMMUNICATION SHOULD NOT BE CONSIDERED AS ANY FORM OF FINANCIAL OR INVESTMENT ADVICE.
(f) YOU ACCEPT AND ACKNOWLEDGE THAT THERE ARE RISKS ASSOCIATED WITH PARTICIPATING IN AND USING THE SERVICES INCLUDING, BUT NOT LIMITED TO, THE RISK OF UNKNOWN VULNERABILITIES IN OR UNANTICIPATED CHANGES TO THE SERVICES, THIRD-PARTY SERVICE PROVIDER SERVICES, AND UNDERLYING NETWORKS, INCLUDING THE LIGHTNING NETWORK. YOU ACKNOWLEDGE AND ACCEPT THAT STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE FOR ANY HARM OCCURRING AS A RESULT OF SUCH RISKS.
(g) STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS AND TAKE NO RESPONSIBILITY FOR AND WILL NOT BE LIABLE TO YOU FOR ANY USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM: (A) USER ERROR; (B) SERVER FAILURE; (C) UNAUTHORISED ACCESS; (D) ANY UNAUTHORISED THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTE FORCING, OR OTHER MEANS OF ATTACK AGAINST THE SERVICES; (E) ANY ORDER NOT BEING EXECUTED FOR ANY REASON; (F) ANY LIMITATIONS PLACED ON YOUR ACCOUNT FOR ANY REASON OR ANY RESTRICTIONS ON YOUR ABILITY TO ACCESS ALL OR PART OF THE SERVICES AT ANY TIME; OR (G) FAILURE OF ANY TRANSACTION FOR ANY REASON. STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE FOR OR IN CONNECTION WITH ANY FAILURE, ACTION, OR INACTION OF ANY THIRD-PARTY SERVICE PROVIDER, OR ANY LOSSES SUFFERED AS A RESULT.
(h) THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, STRIKE AND ITS AFFILIATES EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. STRIKE AND ITS AFFILIATES MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, VIRUS-FREE, OR ERROR-FREE BASIS. STRIKE AND ITS AFFILIATES MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE SERVICES. STRIKE AND ITS AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS OF ANY KIND, FROM ACTION TAKEN, OR TAKEN IN RELIANCE ON MATERIAL OR INFORMATION CONTAINED OR MADE AVAILABLE THROUGH THE SERVICES.
(i) SYSTEM FAILURE. YOU ACCEPT ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICES TO CONDUCT TRANSACTIONS, INCLUDING, BUT NOT LIMITED TO, IN CONNECTION WITH THE FAILURE OF ANY HARDWARE, SOFTWARE, SYSTEM, OR INTERNET CONNECTION. THE NATURE OF CRYPTOCURRENCIES MEANS THAT ANY TECHNOLOGICAL DIFFICULTIES EXPERIENCED BY STRIKE MAY PREVENT THE ACCESS OR USE OF YOUR BITCOIN.

Liability
(a) Indemnity. You will indemnify and hold harmless Strike and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses (including, without limitation reasonable legal and accounting fees) arising out of or in any way connected with (a) your improper or unauthorised access to or use of the Services; (b) your breach of any Services Agreement, (c) any non-payment of any amounts owed by you to Strike in connection with a Services Agreement or these Terms, (d) your breach of any applicable law to which you or your services are subject, and/or (e) your violation of these Terms.
(b) CONSEQUENTIAL DAMAGES WAIVER. NOTWITHSTANDING ANY OTHER SECTION OF THIS AGREEMENT, NEITHER STRIKE, ITS AFFILIATES, THIRD-PARTY SERVICE PROVIDERS, NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, TRADING LOSSES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT STRIKE, ITS AFFILIATES, OR ANY OTHER PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
(c) LIABILITY CAP. NOTWITHSTANDING ANY OTHER SECTION OF THIS AGREEMENT, IN NO EVENT WILL STRIKE'S AND ITS AFFILIATES' TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS ($100).
(d) BASIS OF BARGAIN AND FAILURE OF ESSENTIAL PURPOSE. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN STRIKE AND YOU. THE WAIVERS AND LIMITATIONS IN THIS SECTION 18 APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE.

Governing Law and Dispute Resolution
These Terms and any action related thereto and non-contractual obligations arising out of or in connection with it are governed by and interpreted in accordance with the laws of England and Wales. You and Strike agree for the benefit of each other that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms.

General Terms
(a) Entire Agreement. These Terms incorporate the applicable Policies by reference and constitute the entire and exclusive understanding and agreement between Strike and you regarding the Services, and these Terms supersedes and replaces any and all prior oral or written understandings or agreements between Strike and you regarding the Services. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without Strike's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Strike may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns. In the event that Strike, its parent entity, or substantially all of the assets used in connection with providing the Services is or are acquired by or merged with another entity, Strike may transfer or assign the information Strike has collected from you as part of such change of control.
(b) Notices. Any notices or other communications provided by Strike under these Terms, including those regarding modifications to these Terms, will be given by: (i) posting to the Site or Apps; or (ii) email.
(c) Waiver of Rights. Strike's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of Strike. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or at law.
(d) Interpretation. For purposes of these Terms, (i) the words "include", "includes", and "including" shall be deemed to be followed by the words "without limitation"; (ii) the word "or" is not exclusive; (iii) all pronouns and any variation thereof will be deemed to refer to the masculine and feminine, and to the singular or plural as the identity of the person or persons may require for proper interpretation of these Terms, and (iv) the words "herein", "hereof", "hereby", "hereto", and "hereunder" refer to these Terms as a whole. Unless the context otherwise requires, references herein: (x) to Sections, Appendices, and Addenda refer to the Sections of, and Appendices, and Addenda attached to these Terms; (y) to an agreement, instrument, or other document means such agreement, instrument or other document as amended, supplemented, and modified from time to time to the extent permitted by the provisions thereof and (z) to a statute means such statute as amended from time to time and includes any successor legislation thereto and any regulations promulgated thereunder. These Terms shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted. The Appendices and Addenda referred to herein, if any, shall be construed with, and as an integral part of, these Terms to the same extent as if they were set forth verbatim herein. Captions and headings of the sections and paragraphs of these Terms are intended solely for convenience and no provision of these Terms is to be construed by reference to the caption or heading of any section or paragraph.
(f) Unclaimed Property. If there are funds in your Account and we have no record of you accessing the Services for several years and are unable to contact you, Strike may be required by applicable law to deliver any such funds to the applicable state or jurisdiction as unclaimed property.
(g) Location of services. E4, S.A. de C.V. is based in, and only operates in, El Salvador. By opening or operating a Business Account you acknowledge and agree that the Business Account and any Services we provide to you from time to time are deemed provided to you in and from El Salvador. In particular, E4 does not carry out any activities in the U.S., EEA, or UK.
Appendix A: Product Terms
Depending on the Services made available to you, one or more of the following sections may apply to you and your Business Account.

Strike API, Integrated Services, and Platforms
(a) Strike API. Strike may in its discretion provide you with access to Strike’s application programming interface (the “Strike API”) and similar software for you to use, access or integrate our Services. Access to and use of the Strike API requires a separate Services Agreement that may include additional terms and conditions. The Strike API may be updated or upgraded from time to time and there may be cases where you are required to update or upgrade your integrations to remain compatible, and it is your sole responsibility to do so.
(b) Integrated Services. If agreed in a Services Agreement you may integrate the Strike API, and Strike Services, into your product, platform, or service including to enable you to provide services to your End Users or third parties (collectively, “Integrated Services”). Access to and use of Integrated Services is subject to separate terms and conditions and commercial arrangements. Where you have been approved for Integrated Services, you will only use the Strike API and/or Strike Services for the specific products, purposes, and services approved by Strike from time to time. Your ability to access and provide Integrated Services is subject to prior written agreement of Strike, and may be subject to conditions and separate terms and commercial arrangements, and you must not provide Integrated Services, or use the Strike API to provide services to your End Users, without the prior written agreement of Strike.
(c) End Users. Subject to the prior written agreement of Strike, as part of agreed Integrated Services this may include you providing services to one or more of your customers, third parties, or end users (collectively, “End Users”), and, depending on which Service features are agreed in a Services Agreement and enabled for your Business Account, you may use the Services (including the Strike API) to provide your own services to your End Users if any to the extent Strike has approved your access to Integrated Services. Your ability to access and provide Integrated Services is subject to prior written agreement of Strike, and may be subject to conditions and separate terms and commercial arrangements. Your End Users are not being provided Services by Strike under these Terms, and End Users are not customers of Strike unless they have entered into a separate agreement with Strike. You are solely responsible for your relationship with your End Users. You warrant and undertake to us that you have all required Authorizations to provide all relevant services (including any Integrated Services) to your End Users, and that you are and will remain compliant with all applicable laws, rules, and regulations. As part of our Services we may require you to, and you undertake to, provide certain information including information relating to your End Users and any initiators or recipients of tTransactions including their identity or other identifying information. Any information you provide will be held and processed in accordance with our Privacy Notice. You are responsible for making sure that you are compliant with any privacy or similar rules relating to any data or information relating to your End Users that is provided to us, including ensuring appropriate disclosures about data collection and use are provided to your End Users.
(d) OAuth and orchestration. Subject to the prior written agreement of Strike, as part of agreed Integrated Services this may include you utilizing the Strike API to connect to any other Strike Business Account or orchestrate services on behalf of another Strike user or account-holder (including via OAuth or similar technologies) or enable another Strike user or account holder to connect their Strike account to your platform or service in any way via the Strike API or OAuth capabilities (collectively “OAuth Services”), and (i) you indemnify and hold harmless Strike for any losses or liabilities incurred or suffered by you, Strike or any Strike user or customer directly or indirectly due to your use of OAuth Services (ii) you are solely responsible for the operation and security of your platform but undertake to Strike that you will operate and maintain your platform consistent with generally accepted industry best practices (including with respect to information security, data protection, and privacy, and at all times in compliance with applicable law, (iii) you will comply in full with all data protection and privacy laws applicable to you or to the relevant user utilizing OAuth Services, (iv) at all times you will comply the Acceptable Use Policy and in particular will not use OAuth Services in any manner not expressly approved by Strike in a Services Agreement, or in any manner designed to collect or store any information from users without their express permission, or take any action not expressly approved by the relevant user. Access to this functionality will be subject to separate agreement set out in the Services Agreement with you.
(e) Platform Providers. Unless otherwise prohibited by Strike, where agreed in a Services Agreement you may use an e-commerce or other platform provider (a “Platform Provider”) to assist you in using and incorporating Strike. You may be required to enter into additional agreements with a Platform Provider in order to use the Platform Provider’s platform, products, or services or to enable the Services with such platform, products, or services. Use of a Platform Provider may enable data exchange between the Services and Platform Provider and you consent to such data exchange. Strike does not have control of, or liability for, the platforms, products, or services offered by a Platform Provider, and you agree that your use of such platforms, products, or services is subject to the separate written agreement between you and the Platform Provider. You agree that any Platform Provider’s use of Strike is done solely on your behalf.

USDT balances
If your Supported Assets are bitcoin and USDT (tether) then the following terms apply:
(a) USDT. Where your Supported Assets include tether (“USDT”), your “cash” or “USDT” balance in your Business Account is held in USDT, not in United States dollars or any other fiat currency (currencies issued by a government or central bank). When we refer to “cash” or “$” in the Services, we do so only for convenience, and references to “cash” or “$” should be interpreted to mean USDT. Where your Supported Assets are bitcoin and USDT, Strike does not offer you, as part of the Services, any services relating to fiat currency balances and does not hold any fiat currency for you.
(b) USDT Deposit and Withdrawal Transactions. You may be given the option to deposit or withdraw USDT to / from your Business Account (a “USDT Deposit” or “USDT Withdrawal” respectively) by transferring USDT to / from your external wallet via one or more blockchain networks that we support for USDT deposit and withdraw (each a “USDT Supported Network”). Strike may utilise a Third-Party Service Provider to establish a connection with each USDT Supported Network and use of such Third-Party Service Provider may enable data exchange between us and the Third-Party Service Provider. You represent and warrant that you own and control any external wallet you use for USDT Deposits or USDT Withdrawals and have the legal right to use the USDT in such wallet. You may not initiate a USDT Deposit or USDT Withdrawal over a USDT Supported Network to / from an external wallet that you do not own or control. To facilitate a USDT Deposit, Strike or its Third-Party Service Provider will generate a network address on the relevant USDT Supported Network to receive the USDT and the net deposited amount will ultimately be credited to your USDT balance in your Business Account. When initiating a USDT Withdrawal, you authorize your Business Account to be automatically debited for the USDT amount and any fees or other amounts you owe to us. When making a USDT Withdrawal the receiving address must be a correctly established wallet address on the USDT Supported Network that is capable of receiving USDT on that USDT Supported Network. If you attempt to initiate a USDT Withdrawal to an incorrect address to an address that is not an eligible address on a USDT Supported Network, or attempt to do a USDT Deposit not using a USDT Supported Network, your assets may be lost and unrecoverable, and you may incur losses as a result.
(c) Business Account Funding and Withdrawal Transactions (Fiat Payment Methods). You may be given the option to purchase USDT or other Supported Asset into your Business Account by linking a supported and eligible payment method (“Payment Method”). Payment Methods may differ depending on your location and eligibility criteria, but may include valid Card Transactions in your name or using another funding method such as a bank transfer or a connection to your bank account and initiation of bank transfers via our Third Party Service Provider. To be eligible, the Payment Method must be associated with an eligible bank or payment institution in an eligible country, must belong to you and must be in your name. Purchasing a Supported Asset using a Payment Method will result in a Conversion (as defined in this Agreement) from the fiat currency associated with your Payment Method to the relevant Supported Asset(s) by Strike or its Third Party Service Provider(s). Any such Supported Asset purchased in this manner may not be available for use or withdrawal until the funds from your Payment Method have settled, which may vary depending on the Payment Method you select. Strike relies on a Third-Party Service Provider to establish connections to Payment Methods, receive or pay out fiat currency in connection with such Payment Methods, or carry out conversions of such fiat currency to or from Supported Assets. Such use of Third-Party Service Provider or Relevant Affiliate (as applicable) may enable data exchange between us and such Third-Party Service Provider. You represent and warrant that you have the legal right to use any Payment Method you use to fund your Business Account, and that any Payment Method used will be in your sole name and owned and controlled solely by you. Each time you instruct us through the Services to purchase a Supported Asset using your Payment Method to your Business Account, you authorize our Third-Party Service Provider (or in the case of a Card Transaction, the Relevant Affiliate) or us to (i) where applicable, immediately debit or receive funds from the Payment Method for the fiat currency amount instructed, either in a single or recurring transaction, as applicable, and (ii) move funds to your applicable Payment Method if your funding transaction is canceled or otherwise returned. You can cancel this authorization by unlinking your Payment Method(s) from your Business Account. You authorize your Business Account to be automatically debited or your Payment Method(s) to be charged for any amounts you owe to us and to execute any Conversions necessary. You may initiate a withdrawal of the balance in your Business Account only to an eligible Payment Method in your name.
(d) Local Buy/Sell. As part of the Services, you may be able to (i) directly purchase a Supported Asset using fiat currency and an eligible Payment Method that is a bank transfer or other non-card Payment Methods (any such purchase or attempted purchase a “Local Buy Transaction”), and/or (ii) directly sell a Supported Asset for fiat currency to be paid out directly to your selected eligible Payment Method that is a a bank transfer or other non-card Payment Methods (a “Local Sell Transaction” and together with Direct Buy Transactions, a “Local Buy/Sell Transaction”). To be eligible, the Payment Method must be associated with an eligible payment institution in an eligible country, must belong to you and must be in your name. Local Buy/Sell Transactions are enabled by a Third-Party Service Provider and all services relating to Local Buy/Sell Transactions are provided and processed by that Third-Party Service Provider; Strike itself does not provide any fiat currency services or conversions to you in respect of a Local Buy/Sell Transaction or Local Currency. Local Buy/Sell Transactions may relate to one or more fiat currencies (each a “Local Currency”) and Payment Methods. Payments of Local Currency to the details provided in your App for a Local Buy Transaction are to the account of the Third Party Service Provider who will effect any exchanges from Local Currency to the relevant Supported Asset you elected to purchase as part of the Local Buy/Sell Transaction; payments of Local Currency to your third party account in respect of a Local Sell Transaction will be made by the Third-Party Service Provider in the relevant Local Currency from one or more accounts of the Third-Party Service Provider. In respect of a Local Buy/Sell Transaction, the exchange between the relevant Supported Asset and the relevant Local Currency will be at the relevant rate at the time as determined by the Third-Party Service Provider, plus any fees associated with the Local Buy/Sell Transaction. For a Local Buy Transaction you must pay the exact amount of Local Currency that you instruct, within any specified time periods, and failure to do so could cause the Local Buy Transaction to fail. In the event of a failure there may be a delay in the Third Party Service Provider returning any Local Currency funds to you, and you acknowledge that neither Strike nor the Third-Party Service Provider has any liability to you in connection with this delay or any failed transaction. For a Local Buy Transaction this rate will be the current rate at the time the relevant Local Currency amount is actually received and processed by the Third-Party Service Provider, which may be different to the time that you initiated the Local Buy Transaction in your App or the time at which your initiated payment of the relevant Local Currency amount.
(e) First party only. In connection with paragraph (c) or (d) above, any Payment Method must be in your sole name which must match your Business Account. Payments from or to third parties, or from business accounts, are not permitted. If you attempt to use a Payment Method in the name of a third party, or if there is a mismatch between the name on your Business Account and the Payment Method used, these transactions may fail or be reversed, and your account may be restricted.
(f) Restricted FIs or Payment Methods. We may restrict deposits from, or withdrawals to, certain financial institutions or banks (“Restricted FIs”), or made using certain payment methods (“Restricted Payment Methods”), and any attempted deposit from or withdrawal to a Restricted FI or Restricted Payment Method is not permitted and may be rejected or be failed or cancelled, and your account may be restricted. You may not link a Payment Method that is a Restricted FI or Restricted Payment Method. We may consider any bank or payment account that is not an eligible bank or payment institution, or which is not based in an eligible country, to be a Restricted FI for these purposes.
(g) Transaction Limits. We may, at our sole discretion and without notice to you, impose limits or restrictions on the size or quantity of transactions you can make.
(h) NO CANCELLATIONS, REFUNDS, OR REVERSALS. ALL USDT DEPOSITS OR USDT WITHDRAWALS THAT YOU INITIATE OR AUTHORIZE THROUGH THE SERVICES ARE FINAL AND IRREVERSIBLE. IT IS YOUR RESPONSIBILITY TO CONFIRM THAT THE TRANSFER INSTRUCTIONS AND ANY OTHER INFORMATION YOU SUBMIT THROUGH THE SERVICES ARE COMPLETE AND ACCURATE. YOU MUST ENSURE THAT YOU ONLY USE SUPPORTED NETWORKS. USE OF OUR SERVICES TO PERFORM USDT DEPOSITS OR USDT WITHDRAWALS IS AT YOUR OWN RISK. STRIKE IS NOT RESPONSIBLE FOR MAKING ANY REFUNDS OR REVERSING ANY TRANSACTIONS UNLESS REQUIRED UNDER APPLICABLE LAW. YOU UNDERSTAND THAT IF YOU INPUT INACCURATE OR ERRONEOUS TRANSACTION INFORMATION (FOR INSTANCE INCORRECT OR INACCURATE RECIPIENT INFORMATION, AN INCORRECT ADDRESS, OR ATTEMPT TO DEPOSIT OR WITHDRAW FROM OR TO AN UNSUPPORTED NETWORK OR UNSUPPORTED WALLET TYPE), YOUR ASSETS MAY NOT BE RECEIVED BY YOUR INTENDED RECIPIENT, YOUR TRANSACTION MAY FAIL, YOUR FUNDS MAY BE LOST, YOU MAY SUFFER LOSSES, AND STRIKE HAS NO LIABILITY FOR SUCH LOSSES. YOU UNDERSTAND THAT ONCE A TRANSACTION IS SUBMITTED, NEITHER STRIKE NOR ANY THIRD-PARTY SERVICE PROVIDER CAN REVERSE, CANCEL, OR MODIFY THE TRANSACTION THROUGH THE SERVICES.

Fiat balances
Where your Supported Assets are bitcoin and a fiat currency, then the following terms will apply.
(a) Fiat balances. Depending on the Services available to you, you may be provided with a supported fiat currency (“Fiat”) balance which you can add to from your linked Payment Method (aka ‘deposit’) and withdraw from to a linked Payment Method. All Fiat funds credited to your Business Account or shown as a Fiat balance are held in a payment account provided to Strike by one or more Third-Party Service Providers. Fiat funds you transfer to your Business Account will be displayed as an available balance in your Business Account to be used solely in connection with our Services such as purchasing Bitcoin through our Services, and cannot be stored in your Business Account indefinitely or used for payment purposes or any other purposes.
(b) Linked Payment Method. In order to use certain Services, you must link a valid and eligible bank account or payment institution account (a “Payment Method”) to your Business Account. To be eligible, the Payment Method must be associated with an eligible bank or payment institution in an eligible country, must belong to you and must be in your name. We may require you to provide us with documents to verify the details and the ownership of your Payment Method including the source of funds, and during our enquiries deposits to, or withdrawals from, your account may be suspended or delayed. If we cannot verify the information you provide to us, the details of your Payment Method or cannot verify that the Payment Method belongs to you, you may not be able to use our Services. Fiat funds may only be deposited from your Linked Payment Method in your name and any withdrawal of Fiat funds must be to one of your Linked Payment Methods in your name.
(c) First party only. ANY PAYMENT METHOD, AND ANY DEPOSITS OF FIAT TO OR WITHDRAWALS OF FIAT FROM YOUR STRIKE ACCOUNT, MUST BE EXCLUSIVELY IN THE SUPPORTED FIAT CURRENCY FOR YOUR BUSINESS ACCOUNT, AND EXCLUSIVELY FROM OR TO A THIRD PARTY BANK OR PAYMENT INSTITUTION ACCOUNT IN AN ELIGIBLE COUNTRY IN YOUR SOLE NAME WHICH MUST MATCH YOUR STRIKE ACCOUNT. Payments from or to third parties, or from business accounts, are not permitted. If you attempt to deposit Fiat funds from, or withdraw Fiat funds to, an account in the name of a third party, or if there is a mismatch between the name on your Strike account and the account to which or from which you are depositing or withdrawing Fiat funds, these transactions may fail or be reversed, and your account may be restricted.
(d) Restricted FIs or Payment Methods. We may restrict deposits from, or withdrawals to, certain financial institutions or banks (“Restricted FIs”), or made using certain payment methods (“Restricted Payment Methods”), and any attempted deposit from or withdrawal to a Restricted FI or Restricted Payment Method is not permitted and may be rejected or be failed or cancelled, and your account may be restricted. You may not link a Payment Method that is a Restricted FI or Restricted Payment Method. We may consider any bank or payment account that is not an eligible bank or payment institution, or which is not based in an eligible country, to be a Restricted FI for these purposes.
(e) Transaction Limits. We may, at our sole discretion and without notice to you, impose limits or restrictions on the size or quantity of transactions you can make.
(f) Your Responsibility in the Event of a Negative Business Account Balance. In the event you transfer funds from a Payment Method to your Business Account, and such transfer is rejected or reversed for any reason, you authorise us to reverse the corresponding credit to your Business Account. You are responsible for maintaining an adequate balance and / or sufficient limits with your Payment Method to avoid an overdraft or insufficient fees. To the extent a reversed or rejected payment results in a negative Business Account balance, you agree to transfer to your Business Account the amount necessary to bring your Account balance to zero within three (3) business days. Strike reserves the right to suspend access to the Services until the negative balance to your Business Account is addressed. For purposes of this Agreement, our business days are Monday through Friday. Holidays are not included.
(g) Strike is not a bank, or a licensed payment service provider, and does not provide any regulated payment services to you related to Fiat funds. For the avoidance of doubt, although you may be provided with Fiat currency balances reflecting the amount of Fiat currency available with respect to your Business Account, the Fiat balance is provided for informational purposes as your available balance to be used to purchase Bitcoin through our Services or for other bitcoin-related Services provided to you. No Fiat in your Business Account will have the benefit of any deposit protection or deposit insurance schemes or similar programs.

Lending Product
Where as part of the Services, you are eligible to apply for a bitcoin collateralised loan, then the following terms will apply:
(a) Your use of the loan product is subject to the terms of a separate loan document between you and Strike (the “Strike Business Loan Agreement”) which will detail the terms of the relevant loan provided by Strike to you (the “Loan” as defined in the Strike Business Loan Agreement) including the currency of the Loan and other key terms. If the Strike Business Loan Agreement in any way conflicts with the terms of this Agreement or Appendix A, then the terms of the Strike Business Loan Agreement will control with respect to the relevant Loan.
(b) To be eligible to apply for a Loan and during the term of a Loan, you must satisfy the eligibility criteria for the Loan, which includes at minimum (i) you have an active Strike Account and maintain that Account in good standing, (ii) you are in an eligible jurisdiction where the loan product is available, (iii) you satisfy any investor classification or eligible lender criteria relevant to the provision of the loan product.
(c) The loan product is only available to eligible customers in eligible countries, and may be subject to certain minimum loan amounts and other eligibility requirements. Loans are only available to you for business purposes and you must (and represent and warrant to us that you will) use the loan proceeds solely for business purposes.
(d) You are solely responsible for reviewing the terms of any Loan and the Strike Loan Agreement, and determining if the relevant Loan and terms are appropriate for you based on your own needs, circumstances, and considerations. No Strike entity provides any advice to you, and you are solely responsible for obtaining such legal, tax, financial, accounting or other professional advice as you deem appropriate.
(e) Any summaries of the process for obtaining a loan, benefits of the loan, or loan terms, or any calculators or tools provided in-App, are provided strictly for illustrative purposes only. The presentation of loan terms does not guarantee the availability of any current or future offer, promotion, terms, loan, or return. Calculators and tools in the App that provide you with estimates of loan terms that are generally available. You acknowledge that the availability of Loans, and any terms or rates on which Loans may be offered or other eligibility requirements with respect to Loans, these terms are subject to change.
(f) Being presented with loan information in the App does not indicate or guarantee your eligibility for a Loan. Additional terms, conditions, requirements, suitability and screenings apply solely at the discretion of Strike.
Appendix B: Risk Disclosures
General. We are not responsible for delays or loss incurred as a result of an error in the initiation of bitcoin transactions and have no obligation to assist in the remediation of bitcoin transactions. Bitcoin transferred over the Bitcoin Network must be recognized by a number of network confirmations, and bitcoin sent to you in this manner may be delayed and in a pending state before appearing in your Business Account. Bitcoin Network transactions are not complete while pending, and while in a pending state the applicable bitcoin will not be available in your Business Account for your use in connection with the Services. If you or a third party attempts to send any asset other than bitcoin from an external wallet to your Business Account, such asset may be lost and may not be recoverable, and you may incur losses as a result. For the avoidance of doubt, the only virtual asset supported by the Services is bitcoin, and Strike does not support “bitcoin cash,” “bitcoin SV,” or similar assets that are not bitcoin.
Networks. Strike does not own or control the Bitcoin or Lightning Networks that underlie the Services. Strike disclaims all liability relating to such Networks and makes no guarantees regarding the security, functionality, or availability of such Networks.
Irreversible transactions. Bitcoin and USDT transactions, once submitted, are irreversible. If you send bitcoin or USDT to an incorrect address, or to a third party wallet or account that you do not control, or to an address on a network that is not the bitcoin network (in respect of bitcoin) or a Supported Network (in respect of USDT), you will lose access to that bitcoin or USDT as applicable. It is not possible to reverse, cancel, or undo any bitcoin or USDT transaction once made. Only send bitcoin (or supported assets) to addresses controlled by you that you trust.
Stablecoin risks. Where a Supported Asset includes USDT (tether) or any other stablecoin then there are risks associated therewith. Stablecoins are digital assets that are designed to maintain a stable value relative to a specified reference asset, typically a fiat currency such as the U.S. dollar. Each stablecoin is issued and managed by an independent third-party issuer, which is not affiliated with Strike. These issuers may be subject to credit, operational, and default risks. Stablecoins are not legal tender, are not issued or guaranteed by any central bank or government, and are not risk-free. While certain stablecoins are designed to maintain a 1:1 peg with the U.S. dollar or another fiat currency, this peg is not guaranteed, and the market value of a stablecoin may fluctuate. There are inherent risks associated with the use of any stablecoin, including but not limited to the risk of depegging, where the stablecoin's value deviates from its intended reference value. This could occur for various reasons, including loss of confidence in the issuer, insufficient reserves, regulatory action, liquidity crises, or operational failures. If a stablecoin depegs, users may incur losses or may be unable to redeem or exchange the stablecoin at its expected value. Stablecoin issuers may not always maintain sufficient reserves, or may fail to provide transparent and timely disclosures regarding their reserve composition, custodianship, or auditing practices. Strike does not control, and is not responsible for, the governance, backing, technical integrity, or solvency of any stablecoin issuer. You further acknowledge that stablecoin conversions or transactions may be delayed, limited, or unavailable due to market volatility, network congestion, technical disruptions, or other external factors. In certain circumstances, it may be difficult or impossible to exchange stablecoins for fiat currency or other digital assets. You understand and agree that Strike does not guarantee the value, availability, or liquidity of any stablecoin, or that any stablecoin value will correspond or be convertible or valued at, the notional currency to which it is designed to be pegged. Any use of or exposure to stablecoins is entirely at your own risk. The applicable conversion rate between a stablecoin and any other currency may vary and is subject to market fluctuations. For more information on specific stablecoins, please refer to the disclosures or terms provided by their respective issuers.
Lightning network. Strike enables certain payments and transfers using the Lightning Network, a second-layer protocol built on the Bitcoin Network. While the Lightning Network can facilitate faster and cheaper transactions, it is still a relatively early stage and evolving technology that may be subject to routing failures, channel liquidity constraints, and node unavailability. Payments sent over the Lightning Network are not guaranteed and may fail. Strike does not control the Lightning Network and disclaims liability for any losses, failures, or delays arising from Lightning transactions or network conditions.
Forks. By using the Services, you acknowledge and agree that the underlying Bitcoin Network is subject to sudden changes in operating rules (known as “Forks”), and that such Forks may materially affect the value, function, or even the name of bitcoin. A Fork of the Bitcoin Network could also disrupt the Lightning Network, potentially for a significant period of time. In the event of a Fork, you agree that we may temporarily suspend operations (with or without advance notice to you) and that we may, in our sole discretion, decide whether or not to support (or cease supporting) either branch of the forked Network protocol entirely. You acknowledge and agree that Strike assumes no responsibility whatsoever with respect to an unsupported branch of a forked Network protocol. In the event of a Fork that results in the creation of a new asset in addition to bitcoin (such asset, the “Forked Asset”) you acknowledge that you have no claim or rights to any Forked Assets, and that your sole claim will be in respect of an amount equal to your applicable bitcoin balance in your Account.
Additional Bitcoin Risks. Your use of the Services is subject to the following additional conditions and risks: (i) bitcoin transactions are irreversible and cannot be reversed, modified, or cancelled once confirmed by you, and, accordingly, losses due to fraudulent or accidental transactions may not be recoverable and Strike is not liable for any fraudulent or accidental transactions; (ii) bitcoin values can fluctuate substantially, which may result in a partial or total loss of the value of bitcoin that you purchase or hold; (iii) legislative and regulatory changes or actions at the state, federal, or international level may adversely affect the use, transfer, exchange, and value of bitcoin; (iv) the Bitcoin Network is maintained by a vast unidentified private computer network spread around the world, and transacting in bitcoin or on the Bitcoin Network is at your own risk and understanding of this network; (v) the Bitcoin Network is a target for fraud, and fraud may result when you engage in transactions with external bitcoin addresses; (vi) bitcoin is a target for hackers and theft, and hacking and irretrievable theft can occur even when the strongest security settings are used; (vii) some bitcoin transactions are deemed to be made when confirmed on the Bitcoin Network, which may be different from the time at which you initiated such transaction; (viii) the value of bitcoin may be derived from the continued willingness of market participants to exchange other currency/ies for bitcoin, which may result in the potential for permanent and total loss of value of a particular bitcoin should the market for that bitcoin disappear; (ix) any bitcoin transaction may be canceled, lost, or double spent, or otherwise lose all or most of its value due to forks, rollbacks, attacks, or failures to operate as intended; and (x) there is no assurance that a person who accepts bitcoin as payment today will continue to do so in the future.
